What will you do
Key job responsibilities of the Commercial Lawyer include;
Drafting, reviewing, advising, negotiating finalizing contracts of all kinds consistent with Exotel s SOP, goals, applicable laws, mission vision and values that are relevant to transactions - ensuring that all contractual documents developed are compliant with them;
Managing own workflow, applying expert knowledge and providing business and legal advice regarding potential issues stemming from contracts, developing strategies to address issues, and risks identified and escalating/flag issues early;
Partnering with cross-department stakeholders and constantly communicating progress, issues, challenges, risks and benefits, documenting all assumptions, and dependencies, to all users/appropriate management levels in all jurisdictions;
Understanding business goals and how they impact the various products, solutions services;
Map applicable laws, mission, vision, values and policies to Exotel s products, services and solutions and keep them updated;
Ensuring that accurate and sufficient contractual documentation is developed to document transactions to protect Exotels interests effectively;
Proper and timely maintenance of records and registers, preparing and maintaining internal contract summary reports and ensuring compliance post-contract;
Developing and implementing training programs in all important areas;
Supporting the legal department and the organization on all legal matters, business, set-up, handling the legal issues unique to that business, etc. Continuously monitor compliance with statutory and contract obligations, advise management accordingly and propose process improvements;
Representing Exotel s in litigation helping with the litigation process.
Participating in MA- other similar activities, bringing a legal perspective to such areas;
Work on various projects as may be assigned from time to time by the CFO or Management from time to time.
Must Haves
The ideal candidate must have the following skills;
Demonstrated alignment with Exotel s values, and ability to solve problems in a practical manner inclusive of sensitivity to the interests of all stakeholders.
Must have excellent written and oral communication skills and the flexibility and ability to work with fast-changing priorities;
High degree of independence, initiative and decisiveness but also a desire to be challenged and think outside the box;
Be proactive and have good planning and organization skills, good judgment, a high level of professional integrity and discretion, tact, meet deadlines and follow through on assignments and ability to maintain confidentiality;
Outstanding legal and business judgment especially in ambiguous situations - Ability to analyze complex legal and regulatory matters and communicate their implications in clear and simple language;
Demonstrate success in managing and conducting a variety of matters stated above including litigation;
Work independently with minimal supervision and take a strong sense of personal responsibility and ownership for the success of a given task;
Constantly updating self and teams of changes in Law, industry happenings and case laws and applying them day to day;
Ability to assess size, scope and overall risk/issues of contemplated transactions and to tailor contracts as per SOP
Highly responsive with the ability to manage high workload volumes efficiently and effectively;
Eagerness to contribute in a team-oriented environment and ability to work cooperatively with other teams.
What do we look for
LL.B. (undergraduate law degree) from a top-tier university in India and licensed to practice law in India;
A minimum of 8+ years of experience as a lawyer with Internet/ Telecommunication Services /Platforms with a reputed service provider(s); Expertise in contract law, telecom laws, contract laws, data protection privacy in all jurisdictions Exotel operates
