Manager - Company Secretary - NBFC/FinTech (9-15 yrs)

Manager - CS for Delhi location

Experience/Qualification : Company Secretary with PQE of 9-15 years of exp in NBFC, Financial Services, FinTech industry only.

NOTE: Candidates should be from South Delhi and Gurugram location only.

- Immediate joiner or 1 month notice period candidates are preferred.

Job Description:

Role:

- Ensuring end to end statutory compliances of Corporate laws, RBI, FEMA and Banking Laws.

- Identifying, drafting and finalizing agenda, notices for board, committee(s) and shareholders meetings.

- Drafting the minutes of the Board/Committees/Shareholders and co-ordinating with relevant stakeholders for finalisation of the minutes.

- Managing and coordinating with Internal auditors, statutory auditors, secretarial auditors, RTA etc. on various audits, certifications and other day to day matters.

- Supply of various information to internal and external customers e.g. operational resolutions, authorizations, directors' details, Related Parties, capital history, corporate restructuring history.

- Ensure necessary filings with RBI, ROC/MCA, RBI and/or any other applicable regulator.

- Co-ordinating with regulatory bodies including ROC, MCA, NSDL, CDSL etc.

- Preparing/drafting, implementing and ensuring compliance of various policies, SOP's, checklists and governance practices.

- Liaise closely with the legal/finance/business teams at the Company level and group level, and provide support in key transactions.

- Listing/IPO process experience and working knowledge of compliances of securities laws will be an added advantage.
