Senior Associate - General Corporate - M&A/Private Equity/Venture Capital - Law Firm - LLB (4-7 yrs)

A reputed law firm is looking to hire a Senior Associate (4-7 years PQE) for its General Corporate, M&A, and Private Equity/Venture Capital practice in Delhi. This role offers the opportunity to work on high-profile transactions and engage directly with clients.

Key Responsibilities:

- Leading and managing M&A, private equity, and venture capital transactions, including deal structuring, negotiations, and execution.

- Conducting and supervising due diligence exercises and drafting due diligence reports.

- Drafting, reviewing, and negotiating key transaction documents, including shareholder agreements, share purchase agreements, investment agreements, term sheets, and JV agreements.

- Advising clients on corporate governance, regulatory compliance, and foreign investment regulations (FEMA, SEBI, Companies Act, etc.).

- Coordinating with regulators and handling approval processes as required.

- Mentoring and supervising junior associates, ensuring quality control in transactional work.

- Collaborating with internal teams across different practice areas for multi-disciplinary transactions.

Requirements:

- LL.B. from a reputed law school.

- 4-7 years of post-qualification experience in general corporate law, M&A, and PE/VC transactions.

- Strong contract drafting, negotiation, and analytical skills.

- Extensive knowledge of FEMA, SEBI, Companies Act, and other corporate regulatory frameworks.

- Ability to lead transactions independently and manage client relationships.

- Excellent communication and problem-solving abilities.

- Prior experience in a law firm's corporate practice is preferred.
