Job Purpose:
The Senior Manager of Secretarial ,job role involves overseeing corporate governance and compliance functions. This includes ensuring that the company adheres to legal and regulatory requirements, managing board meetings and documentation, and maintaining corporate records. The role may also involve advising the board on governance best practices, coordinating with external stakeholders, and managing a team of secretarial and administrative staff to support the company's strategic objectives and operational efficiency.
Key Responsibilities:
- Conduct Board/General Meetings and draft Resolutions, Minutes of Board Meeting, General Meetings, Notice and other Secretarial and Compliance related Documents.
- Drafting of various Agreements like Takeover, Franchisee, Business Restructuring.
- Preparation and filing of Annual Filing Documents and filed e-forms related to the secretarial on MCA portal.
- Basic knowledge of Public Limited Companies.
- Good communication skills as well as drafting in English.
- To ensure compliance with all the applicable provisions of the Companies Act, 2013, Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (SEBI LODR) and the applicable Secretarial Standards.
- Handle all the audits for secretarial activities viz. secretarial audit, CG audit, internal audit etc.
- To convene and conduct all the Board and Board Committee meetings / General meetings of the Company / SEBI LODR Regulations/Companies Act, 2013.
- Provide guidance to both management and the Board regarding the process to be followed for key corporate matters and their implications from time to time.
Qualifications:
- A Member of the Institute of Company Secretaries of India or Bachelor's Degree in Law from reputed institutes.
Skills & Knowledge:
- Develop processes and systems to monitor key parameters for compliance within the laid down guidelines.
- Implementation of controls.
- Ensure adherence to compliance matters.
- Updation and maintenance of records for all the compliance related matters on the website.
- Prepare regular reports/MIS and analysis for CEO/senior management/WDRA for effective compliance mechanism.
- Understanding of Repository ecosystem and operations will be an added advantage.
- Ability to lead a talented and motivated team of professionals.
