ROLE SUMMARY (PURPOSE)
The Company Secretary is responsible for overseeing corporate governance and ensuring compliance with the Companies Act, RBI, and SEBI regulations. This role involves organizing Board meetings, maintaining statutory records, and managing shareholder communications. Additionally, the Company Secretary will provide legal advice, facilitate regulatory filings, and implement governance best practices within the organization. This role, requiring continuous communication, mostly with senior leaders and mid-level managers
Reports to: Board of Directors
KEY RESPONSIBILITIES
1. Statutory and Regulatory Compliance
- Ensure compliance with all provisions of the Companies Act, 2013.
- File required documents, returns, and forms with the Registrar of Companies (RoC).
- Maintain statutory registers and records (e.g., minute books, share registers).
- Ensure compliance with SEBI regulations, RBI guidelines (specifically for NBFCs), and other applicable regulatory bodies.
- Liaise with regulatory authorities for necessary filings and disclosures.
2. Secretarial Support, Legal, and Financial Advisory
- Act as a trusted advisor to the Board on governance matters.
- Ensure effective implementation of corporate governance best practices within the company.
- Prepare and present governance reports to the Board.
- Provide legal advice to management on business operations, mergers, acquisitions, and joint ventures.
- Review and advise on company law implications of business decisions.
- Monitor compliance with financial regulations and ensure proper application of RBI guidelines specific to NBFCs.
- Supervise documentation for loan agreements, debt, and asset finance.
3. Stakeholder Management
- Organize, prepare agendas, and take minutes for Board, Audit Committee, and other governance meetings.
- Advise the Board of Directors on corporate governance practices.
- Ensure timely dissemination of board papers and resolutions.
4. Risk Management and Internal Controls
- Develop and maintain a robust risk management framework.
- Ensure compliance with internal audit and control procedures.
- Conduct secretarial audits and due diligence as per regulatory requirements.

- Expertise in governance best practices, board procedures, and ethical standards, promoting transparency and accountability within the organization.
- Ability to manage multiple priorities, deadlines, and stakeholder expectations, ensuring efficient preparation of board meetings and documentation.
- Ability to influence and guide the Board and management on governance matters and compliance practices.
- Technical Proficiency: Familiarity with corporate secretarial software and tools, as well as proficiency in MS Office Suite for documentation and presentations.
