Role & responsibilities

Secretarial

  • Preparation and Filing of Annual Return, Balance Sheet and Profit and loss and compliances with the related party transactions. Compliances of all the relevant clauses of LODR and updating the board on amendments in the Companies Act 2013. Acting as a KMP in big organizations and maintained the highest degree of integrity to facilitate protection of boardandshareholder’sinterest.
  • Monthly /Quarterly MIS for secretarial compliances in respect of both listed and unlisted companies. Follow up with regulatory filing made with MCA, ROC, RBI, BSE and NSE and other relevant authorities on regular basis including SFIO/ED/RD.
  • Compliance under section 135 regarding Corporate social responsibility and ensuring that expenditure undertaken under the CSR are mandated under the company’s act- 2013 and report to CSR committee of the board. All agenda and minutes preparations for Board, Audit and General Meetings at regular intervals.
  • Listing and Delisting of Shares and Debentures on Stock Exchanges, Handled Investors' relations & grievances, FCCBs including conversion and listing, Warrants issue, cancellation, conversion and listing.
  • Issuances of Preferential issue, Rights issues and allotment of equity shares.
    Representing the organization before Central Government, Company Law Board, RBI, SEBI and managing work related to office of Registrar of Companies, RD, RBI, SEBI, Depositories, Stock Exchanges, NBFC maters and Share Transfer Agents etc. Implementation of Corporate Governance, SEBI Insider Trading Regulation, SEBI Takeover code and Code of Conduct and various other Board policies etc.
  • Arrange and maintain liability and asset policies. Finalizing insurance policies in respect of Property, vehicles, public liability, etc. including settlement of claims and submission of documents on regular basis. Insurance of both Immovable and movable properties at various locations across India.

Legal

  • Handle legal issues with respect to Litigation, Contracts, Arbitration, Mediation, Consumer matters, Land related and corporate affairs. Compliances of Corporate Laws and co-ordination with various Govt. Regulatory Agencies. Recovery suits and cheque bouncing cases at local and High Court Levels.
  • Handling of entire litigation portfolio and maintain high success ratio. Reviewing the litigations and legal notices and ensure that total litigations numbers are minimized by taking timely actions.
  • Draft various documents such as applications, MOU, allotment letters, Agreements, Sale Deeds, Power of Attorney, Declaration, Indemnity etc.
  • Ensuring due diligence and proper documentation with respect various departments. Drafting, executing and vetting various agreements including but not limited to non-disclosure agreement, MOU, Power of attorney indemnities corporate and advance guarantee and various financing agreements.
  • Drafting and vetting of various correspondences with contractors and suppliers etc. Providing updates on statutory changes having a bearing on the company's business. Thorough Knowledge of identifying, understanding and analysing all documents which lead to issuing a Legal Opinion.
  • To interact and work closely with multiple stakeholders (including internal and external) in relation to issuing a Legal Opinion.
  • Briefing the senior counsels for arguments, preparing Case Papers. Involved in Due diligence, Labour related matters. Providing legal advice, service and support on a wide range of issues to the Management including regulatory, Contractual and compliance matters. Developing professionally competent group/team of in-house and panel of advocates, counsels, attorneys and act as In-house General Counsel.
  • Preparation & review of Joint Venture, Share Purchase Agreement, NDA, POA, commercial contracts, agreements including indemnity, affidavits etc. Handling Investments in & out of India, FEMA Compliances.
  • Regular follow up with the Company’s Counsels and Advocates on the status of legal matters and the steps/strategies to expedite, have early settlement of cases. Obtaining legal opinions on various legal issues of importance under the various statutes.
  • Submission of legal status reports (MIS) on monthly basis for review by the senior management team. Attending court matters before the High Court, City Civil court, Metropolitan Courts, Consumer Disputes Redressal Forums. Participate in meetings for negotiation of agreements and contracts actively.


Preferred candidate profile

10 to15 yrs Experience as CS and Legal

Should Have IPO Related work done earlier self-derived.

Dealing with SEBI Compliance

Contract Negotiation Knowledge

Board Meetings, AGM & EGM.

Compliance Filling

International Collaboration

SME IPO or Main Board IPO Experience
