Company Secretary

Job Description:

• Handling Corporate Secretarial Matters independently (Board Meetings, AGM etc.)
• Coordination with Directors in various countries for KYC/other Compliances
• Drafting/Vetting/Negotiating wide range of Legal Agreements, including sales agreements, manufacturing agreements, services agreements, employment agreements, banking agreements and leases etc
• Experience/familiarity with incoterms would be a plus
• Support HR in Labour Laws/Factories Act related compliances.
• Closely work with HQ Legal Team for all legal matters on legal, compliance and risk topics
• First point of contact with external lawyers
• Support in claiming Incentives as per T-TAP Policy
• Experience in dealing with issues related to the following acts/statutes:
• Company Law (Companies Act)
• Labour Laws ( Factories Act /Shops & Establishment Act, Industrial Disputes Act, Minimum Wages Act, Payment of Bonus Act, Employees Provident Fund & Miscellaneous Provisions Act
• Environmental Laws (Water (Prevention and Control of Pollution) Act, 1974, Air (Prevention and Control of Pollution) Act, 1981, and Hazardous Waste Management Rules, 2016)
• Other Miscellaneous Act (DPDP Act, Legal Metrology Act, Consumer Protection Act, Indian Contract Act & other miscellaneous Acts)
