Position Summary:

The Chief Legal Officer (CLO) will join the founding team to lead all legal and regulatory aspects of TEMS Tech Solutions. This role offers the opportunity to contribute directly to the success of the company by establishing the legal foundation and guiding strategic decisions. As a co-founder, the CLO will have the unique opportunity to invest in the company and gain equity based on their contributions and commitment

Responsibilities:

Legal Strategy and Compliance : Develop and oversee the company s legal strategy, ensuring compliance with applicable laws and regulations across various domains.

Corporate Governance : Guide the leadership team on governance structures and help establish policies that support ethical business practices and corporate compliance.

Contracts and Agreements : Draft, review, and negotiate contracts with clients, vendors, and partners, safeguarding the company s interests.

Risk Management : Identify potential legal risks and implement strategies to mitigate them, advising on risk management and liability prevention.

Intellectual Property : Protect TEMS Tech Solutions intellectual property assets by managing patents, trademarks, copyrights, and proprietary information.

Fundraising Support : Work closely with the executive team on legal aspects of fundraising, including investor relations, regulatory requirements, and due diligence.

Mergers and Acquisitions (MA) : Provide legal insights on potential acquisitions or partnerships to support the company s growth objectives

Required Qualifications:

Juris Doctor (JD) or equivalent law degree from an accredited institution.

Minimum of 8-10 years of legal experience, preferably in the technology, SaaS, or consulting industry

Preferred Qualifications:

Proven track record in corporate law, contracts, compliance, and intellectual property.

Strong understanding of corporate finance and experience with startups or high-growth environments.

Skills and Competencies:

Excellent written and verbal communication skills.

Ability to work in a fast-paced environment and manage multiple projects.

Exceptional communication and negotiation skills, with an entrepreneurial mindset
