Job Description

Position Overview:

The Company Secretary and Legal Counsel is responsible for overseeing corporate governance, legal matters, and regulatory compliance within the organization. This role ensures that the company operates within the legal framework, adheres to relevant laws, and maintains good standing with regulatory bodies. The individual will also be a key advisor to the Board and senior management on legal, governance, and compliance issues.

Key Responsibilities:

Corporate Governance & Compliance:

  • Ensure compliance with corporate laws, regulations, and governance standards in line with local and international best practices.
  • Serve as the primary liaison for the Board of Directors, ensuring effective communication between the Board and management.
  • Organize and attend board meetings, committee meetings, and shareholder meetings, preparing agendas, minutes, and other necessary documentation.
  • Advise the Board and senior management on corporate governance best practices and ensure the company adheres to statutory and regulatory requirements.
  • Maintain the companys corporate records, including the register of shareholders, directors, and other statutory registers.
  • File necessary documents with regulatory authorities (e.g., Companies House, Securities and Exchange Commission, etc.).

Legal Advisory:

  • Provide legal counsel on a variety of corporate matters, including mergers & acquisitions, joint ventures, contracts, and intellectual property.
  • Draft, review, and negotiate a variety of legal agreements and contracts.
  • Assess legal risks and advise management on potential legal issues and ways to mitigate them.
  • Represent the company in negotiations, settlements, and legal proceedings.
  • Keep abreast of changes in laws and regulations that may affect the organization and ensure the company complies with them.

Contract Management:

  • Oversee the drafting, review, and negotiation of contracts to ensure the companys interests are protected.
  • Ensure that contracts are legally sound and adhere to internal policies and legal requirements.
  • Monitor compliance with contractual obligations and provide guidance on legal interpretation of contracts.

Regulatory Compliance:

  • Ensure that the company complies with all local, national, and international regulations relevant to its business operations.
  • Liaise with regulatory bodies and external authorities on legal and compliance matters.
  • Monitor and update internal policies and procedures to reflect changes in laws, regulations, and industry standards.
  • Maintain a strong understanding of industry-specific regulations and ensure timely compliance.

Risk Management:

  • Identify potential legal risks for the organization and provide proactive solutions.
  • Advise management on legal aspects of risk management, including the development of policies to minimize risk.
  • Support the organizations crisis management team in handling legal issues during crises.

Shareholder & Investor Relations:

  • Manage shareholder communication, including the preparation of the annual report, shareholder meetings, and any necessary corporate disclosures.
  • Ensure compliance with securities laws and regulations regarding shareholder rights and disclosure obligations.
  • Advise on corporate strategies related to shareholder matters and investor relations.

Qualifications & Skills:

Education:

  • Bachelor's degree in Law (LLB).
  • Chartered Secretary qualification (e.g., ICSI - Institute of Company Secretaries of India, or equivalent).
  • Master's degree in Law (LLM) or Business Administration (MBA) is a plus.

Experience:

  • Minimum 5 years of experience as a Company Secretary or Legal Counsel in a corporate or law firm environment.
  • Experience with corporate governance, compliance, and regulatory requirements.
  • Proven expertise in drafting and negotiating commercial contracts.
  • Experience in handling litigation and dispute resolution processes.
  • In-depth knowledge of corporate, securities, and labor laws.

Skills:

  • Strong analytical and problem-solving skills.
  • Excellent written and verbal communication skills.
  • Ability to provide clear, practical legal advice to senior management and the Board.
  • Attention to detail and high level of accuracy in legal documentation.
  • Strong interpersonal skills and ability to work cross-functionally.
  • Proficient in using legal management tools and software.
  • Ability to manage multiple projects and priorities effectively.
