Company Secretary & Legal

Role:

• To ensure IPO work - IPO process, procedure, formalities & implementation
• To ensure ROC compliances, Statutory Compliances, Legal Compliances
• To ensure internal policies and procedures, external regulations and laws, corporate governance requirements as per various authorities
• To ensure corporate filings, corporate records requirements and corporate governance administration
• Organizing the company's board meetings and shareholder meetings
• Ensuring Corporate governance
• Maintaining the company's statutory registers, records, books, including; a register of present and past directors and secretaries; a register of all shareholders, past and present and their shareholdings; a register of any charges on the company's assets; minutes of general meetings and board meetings; a register of the debenture holders ...
• Litigation and material developments. Compliance with LODR and corporate governance. Compliance with listing agreement. Brokerage and securities audit.
• Working with external lawyers to reviewing and assess contracts, agreements, leasing documents and other legal documents to mitigate risk to the organisation.
• Working with external lawyers to prepare and review legal documents such as service agreements, deeds, and Memoranda of Understanding.
• To acts as a general lawyer, who handles all legal matters within the company and does not work independently.
• To work with management and employees within their business to ensure laws are being kept.

Candidates profile

• Candidate should be from Valve/ Heavy Engineer Manufacturing background
• Should have strong knowledge of RCO & its compliance & those of various filling similar authorities
• Should have strong background of IPO process, procedure, formalities & implementation
