Head- Legal & CS

• Oversee Secretarial Functions under the Companies Act, 2013, and related Rules, Regulations, and Guidelines, as well as other applicable Corporate Laws, including SEBI laws and listing regulations.
• Ensure proper compliance with all applicable laws and maintain high standards of corporate governance.
• Organize Board of Directors (BOD), Committee, and General Meetings, ensuring compliance with pre- and post-meeting arrangements, reporting, and documentation.
• Manage Corporate Actions and oversee legal matters, including drafting, vetting documents, coordinating with advocates, and representing the company before competent authorities.
• Manage overall function of Legal dept, would be responsible for maintaing all Compliaces of plant & Corporate office
• Documentation, Correspondence, Representation for Tenders relating to Gujarat and other various Drafting, Vetting, Reviewing various documents for day-to-day legal matters, and for the ongoing litigations; coordinating with Advocates on record for the respective matters
• Managing all the contracts, renewal thereof, licenses, permissions, approvals; Government Liasioning etc
• Handle Intellectual Property Rights (IPRs) and incidental matters.
• Ensure Stock Exchange Compliance on a Quarterly, Half-Yearly, and Annual basis.
• Filing applicable e-forms with MCA and managing the companys website.
• Prepare various reports and presentations, including Annual Reports, Investor Presentations and Press Releases.
• Handle Corporate Actions and SEBI compliance within prescribed timelines. Documentation, correspondence, and representation for tenders in Gujarat and other regions.
• Drafting, vetting, and reviewing legal documents for day-to-day matters and ongoing litigations.
• Coordinating with advocates for litigation management and matters related to Civil,Labour court and all other govt bodies.
• Managing contracts, renewals, licenses, permissions, and approvals, including government liaison.
• Filing new applications and modifications for Trademarks, Wordmarks, and Copyrights.
• Expirience in working in Listed company is a must.And candidates completed their CS should only apply.

Qualification required for this role is CS & LLB or LLM .
