The ideal candidate will be a qualified Company Secretary (CS) with a minimum of 5 years of experience in corporate secretarial matters, including compliances of listed Company, RBI, Gift City, SEBI, Companies Act for financial services or real estate sectors. They should have strong expertise in AIF Category II compliance, NCD, corporate governance, and regulatory filings with SEBI and MCA. Proficiency in drafting transaction documents and managing financial covenants is essential. The candidate should demonstrate excellent project management, analytical skills, and the ability to liaise effectively with regulatory bodies, trustees, and investors. Strong attention to detail, integrity, accountability and adaptability in a fast-paced regulatory environment are key attributes for success.
Job Description:
These duties are aligned with maintaining high governance standards while managing legal and compliance risks for the Company.
1. Manage end to end compliances for a listed company including post IPO compliances and regular filings and reporting.
2. Ensuring compliance with SEBI (LODR) regulations, including mandatory disclosures, reporting on corporate governance, and maintaining investor relations. And Advising on corporate governance practices and ensuring compliance with board composition, shareholder agreements, and adherence to listing regulations.
3. Managing compliance with the Companies Act 2013, including filing annual returns, statutory reports, maintaining registers, and coordinating with the Board of Directors and Committees.
Overseeing compliance for debenture issues, capital raising, and restructuring transactions.- Maintaining updated records of shareholdings, debenture holders, and other company assets, and issuing necessary compliance certificates.
4. Filing forms and e-documents with MCA, SEBI, and other relevant authorities.
Ensuring timely filing of returns and resolutions for corporate actions, dividends, and changes in share capital.
5. Addressing investor grievances, providing information on financial and corporate matters, and ensuring investor communication as per SEBIs guidelines.
6. Ensuring that the company adheres to regulations laid down for Alternative Investment Funds (AIF), including reporting to investors, taxation, and financial compliance.
7. Conducting internal secretarial audits to ensure full legal and regulatory compliance.
Performing due diligence for potential fundraising, mergers, and acquisitions.
