Sell-Side M&A (Merger & Acquisition) Advisor

Job Description:

Position Summary:

The Sell-Side M&A (Merger & Acquisition) Advisor will be responsible for managing all aspects of the M&A process, from initial prospecting and financial analysis to deal closure. The ideal candidate will have a robust network of relationships with Private Equity (PE) groups and Corporate Development departments of large organizations that frequently acquire technology companies. This role requires a deep understanding of the technology sector, including Information Technology, Telecommunications, SaaS, Artificial Intelligence, Machine Learning, FinTech, and Biotech.

Key Responsibilities:

Prospecting and Business Development:

• Identify and engage potential sellers in the technology sector.
• Develop and maintain relationships with founders and key stakeholders.
• Conduct initial assessments of potential opportunities and advise on market positioning and value propositions.

Financial Analysis:

• Perform comprehensive financial analyses, including valuation, due diligence, and financial modelling.
• Assess the financial health and growth potential of target companies.
• Prepare detailed financial reports and presentations for prospective buyers.

Relationship Management:

• Cultivate and manage relationships with PE groups and Corporate Development departments.
• Serve as a trusted advisor to clients, providing strategic insights and guidance throughout the M&A process.
• Liaise between buyers and sellers to facilitate communication and negotiations.

Deal Structuring and Negotiation:

• Lead negotiations on deal terms and structure, ensuring alignment with client objectives.
• Draft and review transaction documents, including letters of intent, term sheets, and purchase agreements.
• Work closely with legal, financial, and operational teams to address due diligence findings and finalize agreements.

Transaction Management:

• Oversee the entire M&A process from initial contact to deal closure.
• Ensure all aspects of the transaction are executed efficiently and in accordance with regulatory requirements.
• Provide regular updates to clients on deal progress and next steps.

Post-Transaction Support:

• Assist clients with post-transaction integration and transition plans.
• Address any post-closing issues that may arise and facilitate smooth handovers.

Qualifications:

• Bachelors degree in Finance, Business, Economics, or a related field; MBA or advanced degree preferred.
• Minimum of 7-10 years of experience in M&A advisory, investment banking, or a related field.
• Proven track record of successful sell-side M&A transactions in the technology sector.
• Strong financial analysis and valuation skills, with expertise in financial modelling.
• Excellent negotiation and deal structuring capabilities.
• Established network of relationships with PE groups and Corporate Development departments.
• In-depth knowledge of the technology sector, including IT, Telecom, SaaS, AI, Machine Learning, FinTech, and Biotech.
• Exceptional communication and interpersonal skills.
• Ability to manage multiple projects and priorities in a fast-paced environment.
• High level of integrity and professional ethics.
• FINRA licenses for SIE, Series 7, 63, and 79 are a big plus.
