Qualified Company Secretary required for Company Secretary Department in a Listed Company of Dainik Bhaskar Group with minimum 5 years of Post Qualification Experience (PQE)
Location: Bhopal, M. P.
Experience Required: 5 to 8 years' PQE in a listed company
Roles & Responsibilities:
1. Taking Care of all quarterly/half-yearly/annual/event-based compliances under the Companies Act, 2013, Listing Regulations, SEBI (Depositories and Participants) Regulations, 2006, SEBI (ESOP & ESPS) Guidelines, SEBI (SAST) Regulations, SEBI (PIT) Regulations, etc. including form filing and pledge/un-pledge of promoters' shares and submission of disclosures to regulatory authorities related to that
2. Assist in convening and holding Board and other statutory Committee Meetings of the listed company and its subsidiaries
3. Draft various reports for Annual Report of the listed entity like MDAR, Directors' Report, CGR, BRSR, AGM Notice, E-voting intimation letter, Poll Paper, Annual Disclosures from family and independent directors, Certificate for Code of Conduct, CEO / CFO Certification, all annexures of Board report, etc.
4. Coordinating with printer for printing of Annual Report including artwork, proof-reading, etc.
5. Assist in convening and holding AGMs and other general meetings, if necessary, of the listed company and its subsidiaries including pre-dispatch and post-dispatch formalities for Annual Report to be sent to shareholders
6. All work related to payment of interim and final dividends to shareholders including transfer of unpaid/unclaimed dividend to IEPF
7. Coordinate with all directors of the Company for various matters related to their annual disclosures, logistics for attending board and committee meetings, obtaining signatures on minutes, KYC, etc.
8. Monitor and implement ESOP schemes of the company including coordination with third party vendor, allotment of shares against options on regular basis, grants and vestings of options on regular basis, quarterly MIS, etc.
9. Attending to Secretarial Audit, Statutory Audit and any other statutory audit/queries from Stock Exchanges, other regulatory bodies, shareholder complaints, etc.
10. Attending to internal customers for various resolutions, documents, etc. including treasury function for bank resolutions, etc.
11. Co-ordinating with RTA, ESOP vendor, Stock Exchanges, Depositories, Statutory Auditors, Cost Auditors, Secretarial Auditors on various matters on regular basis including their appointment /reappointment
12. Monitor Insider Trading Policy of the Company with Insider Trading software and the SDD software including coordination with third party vendors
13. Monitoring of Related Party Transactions in coordination with the Finance Team and compliances related to the same
14. Coordinate with 'Investor Relations' cell for various uploads on company website
15. Compiling data as per need, submitting letters to MIB/SEBI/FIPB relating to promoters' shareholding as per need and for prior approvals, if any, submitting various reports for compliance, etc.
16. Maintaining all statutory registers
17. Other related work in respect of Trademarks, D & O Policy, etc.
