job Description:
- Drafting and reviewing a host of agreements including master service agreements, repair services agreements, marketing agreements, employment agreements, consultancy agreements, engagement letters, audit services agreements, franchise agreements, IP licensing agreements, software development agreements, lease agreements, staffing services agreements and other commercial agreements.
- Handling legal matters relating to operations, logistics, employment and staffing arrangements, product compliances, admin and internal support functions.
- Liaising with and managing government, regulatory and/or quasi-judicial authorities as and when required.
- Advising on impact and consequences of new laws and regulations affecting HBC businesses.
- Advising the business teams on strategizing and resolving legal issues that arise in existing commercial relationships, potential disputes and addressing any government enquires.
- Prioritizing and judging what matter should be handled internally or by outside counsels and managing the external counsels effectively.
- Providing strategic and practical legal advice to the business teams of the company as and when required.
- Ability to break down complex legal issues for the business and commercial teams to understand the associated risks and take correct informed decisions.
- Provide close support, guidance and oversight to the business teams on topics related to HR compliances, legal metrology, product related compliances, permits, licenses, approvals etc. and monitor corrective action plans relating to regulatory compliance.
- Assist in the preparation and completion of compliance checklists and risk assessment.
Contract Management:
- Exposure of vetting, negotiating & supervise the drafting of all the Commercial and IT procurement, Technical Support and Maintenance Contract (distribution, service / work force, outsourcing, NDAs, software licensing, lease agreements, etc) of the Company and responsible for advising internal clients on negotiating with partner business terms on behalf of the Company.
- Experience of drafting & vetting policy terms and conditions.
- Drafting, reviewing and negotiating the leave and license agreement for the Company.
PRINCIPAL DUTIES AND RESPONSIBILITIES:
- Ensuring the Service agreement templates are implemented and support the Facilities and other functions in Drafting, negotiating and closing various transaction documents in relation to nature of services.
- Reviewing and extracting clauses from standardized or negotiated agreements to ensure contracting policy is followed.
- Provide gap analysis and summary of transaction and Supplier specific deviations in negotiated agreements from standardized templates, policy manuals to identify discrepancies, escalation mechanisms and managing remediation exercises.
- Assisting the HBC Legal teams to enter data from standardized or negotiated agreements and maintain databases relating to HBC India.
- Drafting, reviewing and finalizing documentation for the notices, consents, renewal letters, Letters of Intent, RFPs, NDAs etc. in accordance with existing templates.
- Providing back office legal support.
- Negotiating the transaction documents as above with business, company & supplier and finalizing the same.
- Complete the internal audits for staffing / contracting agreements and ensure the local regulatory regulations are met.
- Publish report on the compliance to the management and work as neutral party during audits.

- Experience of managing a team of dedicated in-house & external counsels working collectively to manage litigation (Employee & Organization) effectively for the Company.
- Over viewing maintenance of legal MIS / trackers and reporting of same to the Management, and other authorities as required.
- To draft, vet and finalize the pleadings on behalf of the Company to Govt authorities related to regulatory and statutory.

JOB REQUIREMENTS:
- A law graduate from a premier law school in India.
- Should have passion in the field of Law and willing to stretch on work.
- 8 Years professional practice or in a similar role with a Legal BPO.
- Superior communication skills and be able to work comfortably with business and management teams.
- Ability to interact and communicate effectively at a local, regional and global level.
- Passionate to know about new technologies, IP related work.
- Demonstrated (hands on experience) in contract drafting, good negotiation, and execution skills i.e. ability to draft, negotiate contracts.
- Able to communicate well and work in a cross-functional team to achieve common goals
- Strong interpersonal, presentation and communication skills.
- Good teamwork, strong initiative and great independence.
- Ability to identify and escalate issues timely and appropriately.
- Ability to work under pressure, prioritize and respond to business needs and goals.
