About the Role:
An ESOP Controller is primarily responsible for managing the financial aspects of an Employee Stock Ownership Plan (ESOP), overseeing the accounting, compliance, and administration of the plan, ensuring accurate valuation of shares, and managing the repurchase obligations related to employee stock options, all while adhering to relevant regulations and company policies.
Key responsibilities:
ESOP plan Administration:
- Overseeing the day-to-day operations of the ESOP, including participant eligibility, share allocation, vesting schedules, and recordkeeping.
- Managing the ESOP trust, ensuring proper accounting for all transactions related to the plan.
- Communicating ESOP details to employees, including plan rules, benefits, and updates.
Financial Reporting and Compliance:
- Calculating and recording ESOP-related expenses on the company's financial statements.
- Preparing required regulatory filings related to the ESOP, including annual reports and tax forms.
- Ensuring compliance with all applicable ESOP regulations and accounting standards.
Stock Valuation:
- Determining the fair market value of company shares for ESOP purposes, using appropriate valuation methodologies.
- Monitoring market fluctuations and adjusting valuations as needed.
Repurchase Obligation Management:
- Calculating the repurchase obligation when employees leave the company, including vested shares.
- Managing the funds required to repurchase shares and ensuring timely payments.
Required Skills and Qualifications:
- Strong understanding of ESOP regulations and accounting standards
- Expertise in financial analysis, valuation methodologies, and corporate finance
- Proven experience in accounting and financial reporting (10-12 years)
- Excellent communication skills to explain complex financial concepts to non-financial stakeholders
- Detail-oriented with strong analytical and problem-solving abilities
- Proficiency in relevant accounting software and systems
