Job Description:

1. Legal Strategy & Risk Management:

- Develop and implement the organization's overall legal strategy, aligning it with business objectives and mitigating potential legal risks.

- Identify legal risks and opportunities across various areas, including contracts, compliance, corporate governance, litigation, and regulatory requirements.

- Provide advice on potential legal implications of business decisions and strategy.

- Oversee and manage the organization's legal and regulatory compliance program.

2. Corporate Governance:

- Ensure the company complies with all relevant laws, regulations, and corporate governance standards.

- Advise the board of directors and executive team on corporate governance matters.

- Prepare and review corporate documents, including minutes of board meetings, resolutions, and other governance-related materials.

3. Contract Management:

- Lead the negotiation, drafting, and review of all contracts and agreements entered into by the organization.

- Ensure that contracts are legally sound, meet the organization's objectives, and protect its interests.

- Establish and maintain processes to track contract obligations and performance.

4. Litigation & Dispute Resolution:

- Manage all litigation, arbitration, and dispute resolution processes.

- Collaborate with external counsel to defend the company in legal matters, ensuring the best possible outcomes.

- Develop and implement strategies to minimize legal exposure through proactive risk management.

5. Compliance & Regulatory Affairs:

- Ensure compliance with all relevant laws, regulations, and industry standards.

- Stay updated on changes in laws and regulations affecting the organization, advising senior management on necessary changes to policies and practices.

- Oversee audits, inspections, and regulatory investigations.

6. Intellectual Property (IP) Management:

- Oversee the protection of the company's intellectual property (IP), including patents, trademarks, copyrights, and trade secrets.

- Develop and execute strategies for IP management, including licensing and enforcement.

7. Leadership & Team Management:

- Lead and manage the legal department, including recruiting, mentoring, and developing legal talent.

- Oversee the work of in-house legal teams and external law firms.

- Ensure the legal department's efficiency, productivity, and adherence to company standards.

8. Mergers & Acquisitions (M&A) and Corporate Transactions:

- Provide legal guidance on mergers, acquisitions, joint ventures, and other corporate transactions.

- Lead or coordinate due diligence, negotiation, and closing processes for major transactions.

9. Advisory & Stakeholder Communication:

- Provide legal advice to senior leadership on matters ranging from strategic decisions to operational day-to-day issues.

- Serve as a key point of contact for internal and external stakeholders on legal matters.

- Communicate complex legal concepts to non-legal executives, ensuring a clear understanding of risks and opportunities.

10. Policy Development & Implementation:

- Develop and implement internal policies and procedures to ensure legal compliance and risk mitigation.

- Ensure that policies are communicated and enforced throughout the organization.

11. Training & Awareness:

- Provide training to the organization on legal and compliance matters, including ethical behavior, contracts, and data protection.

- Promote awareness of legal responsibilities among employees at all levels of the company.

12. Budget Management:

- Manage the legal department's budget, including forecasting, cost control, and ensuring the effective use of external legal resources.

- Negotiate and manage relationships with external law firms and service providers.

13. Privacy & Data Protection:

- Oversee data protection and privacy policies, ensuring compliance with relevant data protection laws (e.g., GDPR, CCPA).

- Advise on data security issues and implement protocols to safeguard company and customer data.
