Senior Associate - General Corporate Law/Mergers & Acquisitions/Private Equity/Venture Capital Sector - Law Firm - LLB (5-6 yrs)

Position Overview:

We are seeking an experienced and highly motivated Senior Associate with expertise in General Corporate law, Mergers & Acquisitions, and the PE/VC sector. The candidate will play a key role in leading and managing complex transactions while mentoring junior team members.

Key Responsibilities:

- Lead the drafting, review, and negotiation of transaction agreements, including SPAs, SSAs, term sheets, shareholder agreements, and investment documents.

- Supervise and conduct due diligence processes, identifying critical risks, and advising clients on mitigation strategies.

- Provide strategic legal advice on structuring M&A, PE, and VC transactions in compliance with applicable laws and regulations.

- Manage client relationships, offering proactive legal solutions and ensuring seamless transaction execution.

- Stay updated on changes in corporate law, SEBI regulations, and other relevant legal frameworks impacting the GC/M&A/PE-VC domain.

- Mentor and guide junior associates, fostering their professional development.

Qualifications and Skills:

- LL.B. from a reputed law school.

- 5-8 years of relevant experience in GC, M&A, and PE/VC transactions at a leading law firm. Candidates with in-house experience will not be considered.

- Demonstrated expertise in drafting and negotiating complex transaction documents.

- Comprehensive knowledge of corporate laws, SEBI regulations, FDI policies, and other related frameworks.

- Proven ability to lead multiple transactions simultaneously and manage tight deadlines.

- Strong client management, communication, and interpersonal skills.
