Job Summary:
The Company Secretary will be responsible for ensuring that the company complies with all statutory and regulatory requirements and maintains high standards of corporate governance. The role involves coordinating and managing board meetings, ensuring compliance with legal and regulatory requirements, maintaining statutory records, and providing guidance on good governance practices.
Key Responsibilities:
Compliance & Governance:
- Ensure the company complies with all applicable laws, regulations, and listing requirements.
- Advise the Board of Directors on corporate governance best practices and regulatory changes.
- Manage and maintain statutory registers and records, including the register of members, directors, and other statutory records.
- Oversee the timely and accurate filing of statutory returns and forms with regulatory authorities, including the Registrar of Companies (RoC) and the Securities and Exchange Board of India (SEBI).
Board & Committee Meetings:
- Organize and coordinate Board of Directors and Committee meetings, including the preparation and distribution of meeting agendas, minutes, and reports.
- Ensure that decisions made by the Board are communicated to the relevant stakeholders and implemented.
- Provide support to the Chairman and directors for board processes and ensure that board meetings are conducted efficiently.
Annual General Meeting (AGM) & Shareholders:
- Coordinate the Annual General Meeting (AGM), including the preparation of notices, agendas, resolutions, and minutes.
- Ensure that shareholder communications are handled efficiently, including the distribution of annual reports, dividend payments, and responding to shareholder queries.
Legal & Regulatory Compliance:
- Liaise with external regulators and advisers, such as lawyers and auditors.
- Ensure compliance with the Companies Act, SEBI regulations, and other applicable laws.
- Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
Corporate Documentation:
- Draft, review, and manage legal and corporate documents, including contracts, agreements, and company policies.
- Ensure that all corporate documentation is up-to-date and accurately reflects the company's legal and governance obligations.
Secretarial & Administrative Support:
- Provide secretarial support to the Chairman, CEO, and other senior executives.
- Assist in the preparation of the company's annual report and other statutory documents.
- Manage relationships with the company's stakeholders, including shareholders, regulators, and advisers.
Qualifications & Experience:
- Qualified Company Secretary (CS) with membership of the Institute of Company Secretaries of India (ICSI).
- A minimum of 8 years of experience as a Company Secretary, preferably in a listed company.
- In-depth knowledge of corporate laws, SEBI regulations, and governance practices.
- Experience in organizing board and committee meetings, managing statutory records, and handling shareholder communications.
- Strong understanding of corporate governance and compliance requirements for listed companies.
- Excellent communication, interpersonal, and organizational skills.
- Ability to work independently and manage multiple priorities in a fast-paced environment.
- Proficiency in using secretarial and legal software and tools.
