Role & responsibilities


Corporate Governance:

    • Assist in ensuring the organization complies with corporate laws, regulations, and governance standards.
    • Prepare and maintain corporate records, including the companys register of members, directors, and officers.
    • Assist in organizing and preparing agendas for board meetings, annual general meetings (AGMs), and other corporate meetings.
    • Prepare minutes for board meetings and shareholder meetings.
    • Statutory Compliance:
    • Assist in filing statutory documents with regulatory authorities (e.g., Registrar of Companies, Securities and Exchange Commission).
    • Ensure timely submission of compliance reports to regulatory bodies.
    • Maintain and update statutory registers, including shareholding, directors, and shareholders' details.
    • Assist in ensuring adherence to relevant corporate laws, including the Companies Act, Securities Law, and other applicable statutes.
    • Legal and Regulatory Filings:
    • Assist in preparing and filing legal documents, returns, and forms with relevant authorities.
    • Support the process of compliance audits and risk assessments.
    • Liaise with external legal advisors or regulators as necessary.
    • Advisory Support:
    • Provide guidance to the company on governance practices and regulatory changes.
    • Assist senior company secretaries or legal teams in offering advice on corporate structures, shareholder agreements, and legal documents.
    • Corporate Structure and Documentation:
    • Draft, review, and maintain corporate governance policies and procedures.
    • Assist with drafting resolutions, agreements, contracts, and other corporate documents.
    • Ensure that all company filings are completed accurately and in compliance with regulations.
    • Support to Senior Management:
    • Provide administrative and secretarial support to senior management and directors.
    • Ensure timely and efficient management of corporate documents and filings.
    • Assist with legal research and keeping up-to-date with changes in corporate law and regulations.
    • Internal and External Communication:
    • Act as a liaison between the company and external authorities, shareholders, or legal teams.

Preferred candidate profile

    • Completed Internship.
    • Strong knowledge of corporate laws, company secretarial practices, and governance standards.
    • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint).
    • Knowledge of corporate compliance software and database management tools is a plus.
    • Strong communication and interpersonal skills.
    • Detail-oriented with the ability to handle multiple tasks and meet deadlines.
    • Ability to work under the supervision of qualified professionals while taking initiative when necessary.
