Job Description

Position: Company Secretary


Location: Hyderabad


Position Type: Permanent


Roles & Responsibilities-


Corporate Compliance:

  • Act as the Company Secretary for the organization and its group companies, ensuring full compliance with all applicable laws, including Companies Act and FEMA regulations.
  • Prepare, maintain, and file statutory records and returns with regulatory authorities in a timely manner.

Secretarial and Legal Activities:

  • Draft, review, and negotiate legal agreements with vendors, landlords, customers, and other stakeholders.
  • Ensure proper governance and compliance, including board meetings, annual general meetings, and filings.
  • Proactively plan and execute secretarial and legal activities to mitigate risks.

Contract Management and Negotiations:

  • Review and negotiate contracts, keeping the companys business interests at the forefront.
  • Collaborate with cross-functional teams (Finance, Legal, Tax, and Operations) to finalize contract terms and facilitate smooth execution.

Advisory and Risk Management:

  • Develop an in-depth commercial understanding of the companys products and services for better risk assessment and compliance.
  • Provide strategic advice to the management on corporate governance, legal matters, and risk assessment.

Litigation and M&A Support:

  • Handle both litigation and non-litigation matters efficiently.
  • Support the companys M&A, investment, and corporate development activities, including due diligence processes.

Stakeholder Management:

  • Liaise with internal and external stakeholders to ensure all secretarial and legal functions align with business goals.
  • Provide timely and accurate updates to the management and board.

Special Projects:

  • Drive and support special projects as assigned by the senior management team.


Qualification:

  • CS qualification with 510 years of experience in company secretarial functions.
  • An additional legal qualification (e.g., LLB) is preferred.

Key Skills and Expertise:

  • Strong knowledge of Companies Act, FEMA regulations, and labor laws.
  • Excellent drafting and communication skills.
  • Proven experience in mergers and acquisitions (M&A).
  • Practical business judgment and superior interpersonal skills.
  • A team-oriented attitude with the ability to collaborate effectively.
