General Commercial Lawyer

Role & responsibilities

• Draft, review, and negotiate a wide range of commercial agreements, including Vendor and outsourcing agreements, Service-level agreements (SLAs), Loan and credit facility agreements, Investment and joint venture agreements, Technology and fintech partnerships.
• Assist in structuring complex financial transactions and investment deals.
• Advise on regulatory approvals, licensing, and interactions with government bodies.
• Manage and resolve commercial disputes, regulatory investigations, and financial litigation.
• Represent the organisation before regulatory bodies, arbitration tribunals, and courts.
• Advise on contractual risk, indemnity, and liability management.
• Support financial institutions in M&A transactions, due diligence, and corporate restructuring.
• Assist in board advisory, shareholder agreements, and joint venture structuring.

Preferred candidate profile

• Worked with a top-tier law firm, regulatory authority, or in-house legal team of a bank/NBFC/fintech company.
• The role requires strong expertise and knowledge in contract law, financial regulations, and risk management.
• Strong drafting, negotiation, and stakeholder management skills.
• Law degree (LL.B.) from a recognized university; LL.M. in Corporate/Commercial law (preferred).
• 5+ years of experience in a law firm or in-house legal team of a bank/NBFC/fintech company.
• Ability to interpret and apply Indian financial laws and international best practices.
