Company Secretary - Legal


Key Responsibilities:


Compliance & Governance:


- Ensure compliance with the Companies Act, SEBI regulations, and other applicable laws.

- Manage corporate governance practices, ensuring adherence to the highest standards.

Board & Committee Management:

- Convene and coordinate Board and Committee meetings, including agenda preparation, minutes recording, and follow-ups.

- Advise the Board on regulatory requirements and company policies.

Regulatory Filings:

- Prepare and file necessary documents, forms, and returns with MCA, SEBI, Stock Exchanges, and other statutory bodies.

Investor Relations:

- Manage shareholder communication, disclosures, and reporting to stock exchanges.

- Handle dividend payments and related compliance.

Secretarial Practices:

- Maintain statutory registers, records, and compliance calendar.

- Draft and review legal agreements, resolutions, and contracts.

Legal Advisory:

- Provide legal and strategic advice on corporate matters to the Board and senior management.

- Liaise with regulators, external consultants, and legal advisors.

Skills:

- Education: Qualified Company Secretary (CS) from ICSI.

- Experience: Min 5 years of relevant experience in a listed company.

- In-depth knowledge of Companies Act, SEBI LODR Regulations, and other corporate laws.

- Strong communication, interpersonal, and analytical skills.

- Proficiency in handling regulatory filings and corporate governance matters.
