Job Title: Chief Financial Officer (CFO) - IPO Readiness & Execution
Location: Mumbai
Reporting To: CEO/Board of Directors
Job Summary:
- The Chief Financial Officer (CFO) will be responsible for leading the company's financial strategy, preparing for an Initial Public Offering (IPO), and ensuring compliance with regulatory requirements.
- The CFO will play a critical role in guiding the organization through its transition to a publicly traded entity, managing investor relations, financial planning, and ensuring financial governance.
Key Responsibilities:
IPO Readiness & Execution:
- Lead the financial and operational transformation necessary for a successful IPO.
- Develop and execute IPO strategy, including engagement with investment banks, legal advisors, and underwriters.
- Ensure compliance with regulatory requirements for public companies (SEC, GAAP/IFRS, SOX compliance, etc.).
- Oversee the preparation of prospectus, financial statements, and disclosures required for IPO filings.
- Manage due diligence processes, financial audits, and investor presentations.
Financial Strategy & Leadership:
- Develop and execute financial strategies aligned with the company's growth and IPO plans.
- Oversee financial planning, budgeting, forecasting, and risk management.
- Optimize capital structure, including debt and equity financing strategies.
- Provide strategic financial insights to the CEO, board, and executive team.
- Establish financial policies, controls, and reporting mechanisms in compliance with public market standards.
Investor Relations & Stakeholder Management:
- Develop and maintain relationships with institutional investors, analysts, and shareholders.
- Lead investor communication and financial disclosures to the market.
- Represent the company in investor roadshows, earnings calls, and corporate presentations.
Regulatory & Compliance Oversight:
- Ensure adherence to public company financial reporting and governance requirements.
- Oversee internal audit and risk management frameworks.
- Manage relationships with auditors, tax advisors, and regulatory authorities.
Qualifications & Requirements:
- Chartered Accountants Only.
- 15+ years of progressive finance leadership experience, including experience as a CFO.
- Proven track record of leading a company through an IPO process.
- Strong knowledge of SEC regulations, GAAP/IFRS standards, and SOX compliance.
- Experience in investor relations, capital markets, and fundraising.
- Excellent leadership, communication, and strategic thinking skills.
Preferred Experience:
- Experience in a high-growth company transitioning to public markets.
- Established relationships with investment banks, private equity, and institutional investors.
- Strong analytical and problem-solving abilities with a hands-on approach.
