Roles and Responsibilities:
Corporate Governance Advisory:
Advising the senior management/board of directors on corporate governance matters, including conflicts of interest, shareholder rights, and compliance with relevant codes.
Legal and Regulatory Compliance:
Staying updated on relevant company and allied and commercial laws, SEBI regulations, and other statutory changes impacting the organization.
Board and Shareholder Meetings:
Coordinating and managing board meetings, including agenda preparation, minute taking, and follow-up actions.
Corporate Secretarial Functions:
Maintaining statutory records and registers, including share register, directors' register, and corporate documents.
Company Administration:
Overseeing administrative tasks related to company operations, such as maintaining corporate records, managing legal contracts, and coordinating with external advisors.
Risk Management:
Identifying potential legal and compliance risks within the organization.
Implementing appropriate risk mitigation strategies and monitoring compliance.
Desired Candidate skills:
1)Excellent command over aspects of Company Secretarial matters.
2)Excellent English and good drafting skills.
3)Proficiency in Computer Knowledge - MS Word, Excel, Power Point
4) Excellent Verbal and written communication skills
5) Strong Interpersonal Skills and ability to work with people at all levels
6)Must be high in integrity, professional ethics, teamwork skills
7)Adequate knowledge and expertise of corporate governance with excellent communication & analytical skills,
8)Ensure various compliance with legal and regulatory requirements,
9)Managing board and shareholder meetings independently, handling corporate secretarial functions including and overseeing administrative tasks with deep understanding of company and allied law and act as a key advisor to senior management and the board of directors.
Experience- Post qualification experience 8 â 10 years
Qualification- FCS/ACS having minimum experience of 8-10 years. Desirable qualification - Degree in Law
