Job Summary:
We are seeking an experienced Company Secretary to ensure compliance with corporate laws, regulatory requirements, and governance policies. The role involves managing board and shareholder matters, handling stock exchange compliances, and ensuring effective corporate governance. The ideal candidate will possess strong expertise in regulatory compliance, corporate governance, and stakeholder communication.
Key Responsibilities:
Regulatory & Compliance Management:
Ensure compliance with the Companies Act, 2013, SEBI (LODR) Regulations, 2015, and other applicable laws.
Handle SEBI, ROC, RBI, FEMA, IEPF, and other regulatory filings.
Manage disclosures, stock exchange communications, and insider trading regulations.
Maintain compliance with corporate governance and ESG guidelines.
Ensure compliance with IRDA, IEPF, CSR, and NBFC regulations.
Oversee ESOP compliance and execution.
Manage FDI & ODI-related filings.
Board & Shareholder Management:
Organize and conduct Board Meetings, Audit Committee Meetings, AGMs, and EGMs.
Draft agenda, minutes, and resolutions for board and shareholder meetings.
Assist the board in compliance with governance policies and statutory obligations.
Ensure timely filings of e-Forms.
Stock Exchange & Financial Compliance:
Ensure compliance with BSE, NSE, and SEBI listing regulations.
Handle quarterly, half-yearly, and annual reports, financial disclosures, and investor relations.
Manage SAST, PIT, and LODR compliances.
Oversee corporate actions such as bonus issues, dividends, stock splits, rights issues, buybacks, and preferential allotments.
Corporate Governance & Stakeholder Management:
Ensure overall compliance with statutory regulations for the groups entities.
Liaise with shareholders, investors, stock exchanges, and regulators.
Handle investor grievances and corporate communication.
Ensure compliance with IEPF and transfer of unclaimed dividends.
Mergers, Acquisitions & Due Diligence:
Support mergers, acquisitions, and restructuring transactions.
Manage due diligence processes and secretarial audits.
Oversee FEMA regulations and FDI-related filings.
Maintain statutory registers and corporate records.
