Manager - Legal (Commercial)

Role & responsibilities :

1. Contract Negotiation and Drafting:
1. Sales and Purchase Agreements: Drafting and negotiating contracts for the sale and purchase of crude oil.
2. Transportation Contracts: Creating agreements for the transportation of crude oil, including charter party agreements for shipping.
2. Regulatory Compliance:
1. International Regulations: Ensuring compliance with international trade laws, environmental regulations, and sanctions.
2. Local Laws: Navigating the legal requirements of different jurisdictions involved in the trade.
3. Dispute Resolution:
1. Arbitration and Litigation: Handling disputes that arise from commercial transactions, such as breaches of contract or delivery issues.
2. Mediation: Facilitating negotiations to resolve conflicts amicably.
4. Risk Management:
1. Hedging Strategies: Advising on financial instruments to manage price volatility.
2. Insurance: Ensuring adequate insurance coverage for transportation and other operational risks.
5. Due Diligence:
1. Mergers and Acquisitions: Conducting legal due diligence for transactions involving oil companies.
2. Joint Ventures: Assessing the legal implications of partnerships and collaborations.
6. Corporate Governance:
1. Compliance: Advising on corporate governance issues and ensuring compliance with corporate laws and regulations.
2. Board Responsibilities: Guiding board members on their legal duties and responsibilities.
7. Intellectual Property:
1. Protection: Safeguarding proprietary technologies and processes used in the oil and gas industry.

Preferred candidate profile :

1. At least between 8 to 10 years of post-qualification experience in a reputed firm of Solicitors or Corporate House/Organisation, with specialist experience (with at least last five years in Middle East Asia, West Africa, India or internationally) as a Commercial Lawyer preferably related to upstream Oil & Gas Projects and Operations

2. Deep expertise and practical experience in applicable Laws including statute law, secondary legislation and jurisprudence

3. Some practical experience of dealing with commercial laws and corporate laws of United Kingdom or the USA is desirable

4. Exposure to dealing with top notch international Solicitor Firms and reputed Indian/Regional Law Firms
