Responsibilities:
- Drafting & vetting of various legal documents including Property Acquisition Documents, Agreement for Sale, Sale Deed, Conveyance Deeds, Deed of Transfer, Memorandum of Understanding, Letter of Intent, Lease Deed, Leave & License Agreement, Deed of Adherence, Development Agreements, Joint Venture Agreements, etc.
- Conducting legal due diligence process for acquisition of Grade A commercial properties including offices and warehouses across top 6 Indian Cities in coordination with top-tier external law firms
- Acting as the Compliance Officer for the AIF with SEBI.
- Oversee the migration of current model to the new proposed MSM REIT regulation by SEBI.
- Drafting and vetting of all types of Vendor Agreements, Service Agreement, Power of Attorney, Non-Disclosure Agreement, Indemnities, Mortgage Agreements, Trusteeship Agreements, Escrow agreements, Trust Deeds etc.
- Advise on fund formation, registration, and ongoing compliance requirements.
- Draft, review, and update legal documents, including offering memorandums, agreements, and disclosure documents for AIFs. Ensure compliance with SEBI disclosure and reporting requirements.
- Assist in addressing investor queries related to AIF compliance and legal matters.
- Co-ordinate with external agencies for preparing and filing periodic reports and disclosures with SEBI as and when required.
- Drafting investor-related documents like expressions of interest & investor correspondence.
- Liasoning with external agencies / Company Secretary for company law work.
- Provide legal inputs, guidance, feedback, and advice on all matters related to the company.
- Taking care of all other legal matters of all group companies.
- Should possess knowledge on Stamp duty / Registration/Adjudication etc.
- Should possess knowledge of drafting/replying to statutory legal notices, counters, company petitions, complaints etc.
- The candidates should have litigation experience including drafting of plaints, written statements, petitions etc, and liasoning with law firms in respect of litigations, if any.
Experience - 6+ years with a real estate developer or a law firm for property matters.
Qualification - LLB from reputed University
