Impact of the Role:
- The M&A team acts as the in-house investment bank for the Client Group and is responsible for driving M&A and business development across Group businesses and joint ventures, globally. Over the years, the team has successfully executed and closed multiple transactions across various sectors in addition to having evaluated a significantly larger number and volume of transactions across diverse sectors. The broad areas of influence of the M&A team include:
- Strategic think tank of the Group for various acquisition, divestitures, investment management and new business initiatives
- Idea generation, industry and business evaluation, transaction origination, structuring and execution with the ultimate objectives of shareholder value maximization along with risk mitigation
- Nature of transactions include organic business development, equity capital raising including private equity transactions, capital allocation, liquidity / monetization of existing businesses through IPO / trade sale, acquisition of new businesses, joint ventures etc.
- Overall project management by collaborating with various functional teams (legal/tax/secretarial/finance etc.), strategic business units, advisory teams and counter parties involved in a transaction
- Provide post transaction support and monitor investment returns, as required
- The incumbent would be an integral part of the M&A team and will independently lead and drive the various aspects of transactions working with members of the M&A teams as well as various other internal and external stakeholders. This is a high-performance role, which requires ability to work and deliver under pressure in a fluid work environment.
Job Responsibilities:
1. Idea generation and Deal/Transaction Evaluation and Screening
a. Help originate, evaluate and present opportunities to executive management group and / or Board of Directors of Group companies or Corporate, as may be required
b. Assess strategic fit and financial / economic impact of opportunities
c. Existing banking and advisory relationships would be a plus
2. Spearhead financial modelling and valuation analysis
a. Oversee financial modelling to evaluate the robustness of an opportunity
b. Apply valuation methodologies/techniques and risk analysis as appropriate for any given company, business or sector
3. Deal/Transaction Execution
a. Responsible for end to end deal / transaction management including due diligence, legal documentation, coordination with senior corporate / divisional management, and post-acquisition integration planning
4. Commercial Terms in Transaction Documentation
a. Define/draft the commercial terms of Memoranda of Understanding (MoU), Letters of Intent, or Term Sheets
b. Work with legal team in order to translate the above into a legal shareholder/share-purchase agreement
5. Handover to Operating Companies
a. Brief operating teams on the transaction and hand-over crucial documents to them. Work with operating/secretarial/legal teams till the time the acquisition/JV stabilizes
b. Evaluate success of acquisition or JV one (1) year post-transaction
6. M&A Processes
a. Work on M&A process documentation and its update. Help create M&A knowledge pool at Corporate
7. Skill Development
a. Train and guide various team members to incorporate best practices and processes and help develop the requisite skill set of the team members
Key Competencies:
- Outstanding academic track record
- Professional experience ideally in matrix organization
- Superior leadership and team player
- High level of attention to detail and analytical rigor, with problem solving abilities
- Tactical thinking and highly inquisitive mindset
- Ability to multi task and work on tight deadlines
- Flexibility to travel (including overseas travel) at short notice
- Excellent presentation / storyboarding / communication / interpersonal skills
- High level of proactive initiative, ownership and thought leadership
Skills and Qualifications Required:
- CA / MBA from one of the top institutes
- Min 8-10 years of work experience covering M&A / strategic transactions / project management experience
- Candidates with at least 3-5 years of experience with leading boutique IBs and professional advisory firms would be preferred
