Execution Partner - General Corporate - Private Equity/Venture Capital (11-15 yrs)

A leading law firm in Delhi is seeking a seasoned General Counsel (GC) with expertise in Private Equity (PE) and Venture Capital (VC) transactions. The ideal candidate will have a strong track record in fund structuring, regulatory compliance, deal execution, and investor relations within the PE/VC ecosystem.

Role Overview:

As the General Counsel (GC), you will play a critical role in overseeing the legal framework for private equity and venture capital transactions. You will be responsible for structuring deals, ensuring regulatory compliance, and managing legal risks across investment cycles. This position requires a deep understanding of fund formation, term sheets, shareholder agreements, and exit strategies.

Key Responsibilities:

- Lead PE and VC deal structuring, due diligence, and negotiations.

- Draft, review, and negotiate key transactional documents, including shareholder agreements, investment agreements, and exit strategies.

- Ensure regulatory compliance with SEBI, FEMA, RBI, and other statutory authorities.

- Advise on fund formation, governance, and investor rights.

- Work closely with investment teams to mitigate legal risks and ensure smooth execution of transactions.

- Provide strategic legal counsel on fundraising, portfolio management, and exits (IPOs, buybacks, secondary sales, etc.).

- Manage external legal counsel and oversee dispute resolution if required.

- Keep up to date with evolving regulations affecting PE/VC transactions.

Key Requirements:

- Experience: Minimum 12 years PQE in PE/VC transactions, preferably in a top-tier law firm or fund house.

- Expertise: Strong background in fund structuring, investment transactions, and regulatory frameworks.

- Execution-focused: Proven ability to handle multiple transactions with precision and efficiency.

- Regulatory Knowledge: In-depth understanding of SEBI AIF Regulations, Companies Act, FEMA, FDI policies, and tax structuring.

- Leadership & Negotiation Skills: Ability to lead legal teams and negotiate complex agreements effectively.

- Stakeholder Management: Experience working with investors, founders, and regulatory bodies.
