Overview:
We are seeking an experienced Company Secretary to lead compliance, governance, and corporate affairs. The ideal candidate will have significant expertise in fundraising, banking, NBFC operations, and exposure to Bitcoin-related regulations. This role is crucial in ensuring smooth legal compliance while supporting the strategic growth of the organization, especially in Bitcoin treasury management and its integration into the Indian capital market.
Key Responsibilities:-
1. Corporate Governance & Compliance:-
- Ensure compliance with the Companies Act, 2013, and other statutory regulations.
- Manage board and shareholder meetings, including agendas, minutes, and resolutions.
- Maintain statutory records, filings, and compliance reports.
2. Fundraising & Financial Oversight:-
- Support capital-raising initiatives, collaborating with the finance team on debt, equity, and alternative financing.
- Manage relationships with banks, NBFCs, and financial institutions.
- Ensure adherence to RBI and SEBI regulations during fundraising.
3. Legal & Regulatory Framework :-
- Advise on legal matters, contracts, and partnerships.
- Liaise with external legal advisors and regulators to address compliance concerns.
- Handle company secretarial audits and statutory auditor coordination.
4. Bitcoin Exposure:-
- Monitor evolving Bitcoin and blockchain regulations in India and globally.
- Help develop policies for Bitcoin adoption and integration into operations.
- Provide strategic insights on using Bitcoin for treasury and investments.
5. Stakeholder Management:-
- Act as a liaison between the board, shareholders, and regulatory authorities.
- Ensure transparent reporting to stakeholders.
- Strengthen governance frameworks to enhance investor confidence.
6. Risk Management:-
- Identify and mitigate legal and compliance risks.
- Stay proactive with managing regulatory changes affecting the business.
- Qualifications & Skills:-
Education:-
- Mandatory membership with ICSI (Institute of Company Secretaries of India).
- Additional qualifications in Law, Finance, or Bitcoin are advantageous.
Experience:-
- Minimum of 10 years of post-qualification experience as a Company Secretary in banking, NBFC, or fintech sectors.
- Proven expertise in fundraising, regulatory compliance, and corporate governance.
- Exposure to Bitcoin laws and blockchain technology is a plus.

- Strong knowledge of corporate governance and financial regulations in India.
- Excellent communication, negotiation, and stakeholder management skills.
- Analytical mindset with a solutions-oriented approach.
