Job Description

JOB PURPOSE

Shall act as a Single point of contact for all the Company Secretarial and Legal work.

Major Accountability:

  • Prepare a comprehensive check list and ensure compliance of various laws applicable to the Company.
  • Improve the Board Communication relating to compliance of various rules and regulations
  • Contact point for Internal Audit and responsible for drafting and finalizing
  • Management Responses of Audit Observations.
  • Managing RBI compliance regarding the reporting of investment received from the holding company on online platform of RBI.
  • Managing listing Compliances, Insider Trading Compliance and coordinating with BSE, CDSL, NSDL, RTA and handling shareholder grievance.
  • Managing day-to-day corporate secretarial activity.
  • Handling Compliances with Corporate Governance.
  • Ensuring Compliances under applicable statutes such as Companies Act, 1956, SEBI and other Corporate Laws including labor laws etc.
  • Stock exchanges Compliance as per Listing Agreement and their applicable Rules/Regulations/Circulars/ Notifications etc.
  • Maintaining and updating statutory registers and records.
  • Mergers and Acquisitions of varied locations.
  • Handling compliances relating to Directors.
  • Handling compliances relating to ESOP Scheme; Listing of Shares.
  • ROC
  • Buy Back of Equity shares and related activities, liaising with Merchant Bankers.
  • Handled Corporate actions such as Payment of Dividend.
  • Handling activities relating to Preferential issue/ Warrants, conversion of warrants into Equity.
  • Legal compliance in various initiatives and projects for Company as well as for its Subsidiaries undertaken from time to time including documentations, drafting and setting of process & policies as and when applicable.
  • Drafting & Vetting of the Legal Agreement: all types of agreements including MOU/LOI, Deed of Adherence Lease, Leave & License, Commercial Agreements, Confidentiality agreement, Power of attorneys, various business agreements.
  • Liaising with an advocate and assisting them in court matters.
  • Handling matters related to Copy-right & Trademarks (Intellectual property).
  • Framing Policy for Company such as Corporate Legal policy.
  • Experience with listed companies is a must.

Education

  • Minimum education: Company Secretary and LLB
  • Languages: English & Hindi- written & spoken
