Position: Deputy Manager Legal & Compliance
Coordinate and manage the Company secretarial and legal functions including maintenance of statutory company records and risk management programs to meet management, statutory and shareholder requirements as well as coordinate the development and maintenance of internal control policies and procedures
Key Accountabilities & Responsibilities
A. Company Secretarial (70%):
Secretarial Compliance for all group entities under Seros & Subsidiaries, Organizing Board, General and Committee meetings, Drafting of resolutions, Preparation of Notices, Agendas, Minutes of the company meetings, etc.
Coordination with internal departments, internal auditors and statutory auditors.
To ensure 100% compliances of the provision of the Secretarial Standards, Companies Act, 2013 and rules made there under and any other statutes and by laws of the company, RBI, FEMA and allied laws
Liaising with external third-party consultant
Ensure compliance with various e-filling / ROC and other secretarial requirements.
Maintaining and Custodian of the record books under the company secretarial guidelines and companies Act, 2013.
Assisting in documentation and compliance in fund raising activities.
Advise on the documentation of group level financial transactions / loan transactions with the lenders / institutions
Undertake/ assist in the Legal / Financial Due diligence of the company or targeted entities
Soft skills:
Good presentation skills for conducting of Board/Committee/General Meetings
Good communication skills and ability to engage with directors, lenders, auditors and stakeholders at different levels.
Work with the larger Group Compliance team and proactively step-in to ensure that the team meets its targets.
Multi task, quick learning, ability to analyze situation and provide effective guidance, ability to work independently.
B. Legal Counsel (30%):
Assess the legal risk that may arise during organization's business activities and ensure that organizations activities comply with applicable laws and regulations
Review and draft contracts, agreements and internal policies and ensure that they are in compliance with all statutory or legal requirements
Corporate restructuring and advise on the group business transactions
To advise Senior Management on all legal matters
To support in legal vetting of Agreements, Business contracts, SLA/NDA with Vendors and Customers
Keep abreast of legislative changes that may affect the organization
Knowledge & Attributes:
At least 7-8 years of secretarial and legal experience ideally in a leading organization, with a proven track record in legal aspects, contract review, drafting, negotiation and contract management
Knowledge of corporate and commercial law
Knowledge of local, national and international laws
Excellent relationship management and communication skills necessary.
