Role & responsibilities:

  • Drafting, vetting, negotiating, and closing various business, commercial, and financial contracts/ business agreements, including but not limited to Power Purchase Agreements, Share Subscription and shareholder Agreements, Transporter Agreements, Warehouse Agreements, Security Agreements, Lease Deeds, JV Agreements, EPC Agreements, MOUs, Company policies, Service and Supply Agreements, Warranty agreements, NDAs, POAs, purchase order terms, etc.
  • Provide interpretation and analysis of contractual clauses.
  • Ensure compliance with all applicable laws and regulations affecting the wind energy sector, including environmental, health and safety, and labor laws.
  • Tender Documents Preparation.
  • NBFC documentation
  • Draft and notices reply to parties
  • Prepare standard terms of the contracts/ documents and Matrix to monitor deviations.
  • Manage and assist in handling commercial disputes, litigations, arbitration claims, etc
  • Coordination with external legal counsels and law firms.
  • Provide support on miscellaneous legal issues as may be brought to as an in-house counsel.
  • Legal corporate compliance.
  • Handled Quarterly, Half Yearly, and Annual compliances under SEBI
  • Maintenance of Statutory Books, Registers, and Records.
  • Preparing and filing various e-forms with the Ministry of Corporate Affairs of India.
  • Preparation of Minutes, Notices Agenda, and other documents thereof, in accordance with applicable provisions under the Companies Act, 2013, SEBI Regulations and notified Secretarial Standards.
  • All applicable secretarial compliances of Listed, Public and Private Companies.
  • Preparation of Search Reports.
  •  Drafting of Minutes of Board Meetings, Committee meetings, AGMs, and EGMs.
  • Preparation of Agenda and Notice for convening Board Meeting /AGM/EGM.
  • Maintenance of Statutory Books & Registers.
  • Online inspection of Companies.
  • Well familiar with the XBRL filing. (Webtel Software).
  • Equity Infusion through Rights Issue and Private Placement Basis
  •  Issue of Debentures and Preference Shares on Preferential Basis
  • Preparation and maintenance of agendas, Minutes of Board & Committee Meetings, and Listing Compliances pertaining to Board & Committee Meetings, Newspaper Publication & Website Dissemination.
  • Filing of the various e-forms under the Companies Act, 2013, such as-
  • Annual Filing and routine filings with MCA
  • Change of Registered Office of the Company within the same City ACTIVE (Active Company Tagging Identities and Verification


Skills & Requirements:

  • Excellent written and oral communication skills with a strong attention to detail.
  • Excellent knowledge and understanding of corporate laws, SEBI, civil laws, arbitration laws, and contract laws;
  • A high degree of professional ethics and integrity
  • Sound judgment and ability to analyze situations and information.
  • Ability to work independently and in collaboration with the team / various stakeholders.
  • Drive compliance with the Company's legal policies
  • Excellent negotiation, communication, and interpersonal skills.
  • Ability to handle high-pressure situations and complex projects.
  • Strong analytical and problem-solving skills.
