Legal & Compliance Officer

Role & responsibilities :

• Drafting, vetting, negotiating, and closing various business, commercial, and financial contracts/ business agreements, including but not limited to Power Purchase Agreements, Share Subscription and shareholder Agreements, Transporter Agreements, Warehouse Agreements, Security Agreements, Lease Deeds,JV Agreements, EPC Agreements, MOUs, Company policies, Service and Supply Agreements, Warranty agreements, NDAs, POAs, purchase order terms, etc.
• Provide interpretation and analysis of contractual clauses.
• Ensure compliance with all applicable laws and regulations affecting the wind energy sector, including environmental, health and safety, and labour laws.
• Tender Documents Preparation.
• Court, GST matters
• Insurance claim documentation including MACT Claim
• Draft and notices reply to parties.
• Prepare standard terms of the contracts/ documents and Matrix to monitor deviations.
• Manage and assist in handling commercial disputes, litigations, arbitration claims etc
• Coordination with external legal counsels and law firms.
• Provide support on miscellaneous legal issues as may be brought to as an in-house counsel.
• Legal corporate compliance & SEBI Regulatory.

Competency Requirements

• Excellent written and oral communication skills with a strong attention to detail.
• Excellent knowledge and understanding of corporate laws, civil laws, arbitration laws and contract laws;
• High degree of professional ethics and integrity
• Sound judgement and ability to analyse situations and information.
• Ability to work independently and in collaboration with the team / various stakeholders.
• Drive compliance to Company's legal policies
• Excellent negotiation, communication, and interpersonal skills.
• Ability to handle high-pressure situations and complex projects.
• Strong analytical and problem-solving skills.
