Ensure the compliance of the Company and the Board of Directors with the relevant laws, rules & regulations, resolutions of both the Board and AGMs meetings including corporate governance practices.
Lead various and critical provisions of the Companies Act, 2013, SEBI LODR Regulations, SEBI PIT Regulations, SEBI SAST Regulations Secretarial Standards, and ancillary laws applicable to the company.
Circulate meeting agenda, notice, minutes, resolutions for all meetings of Board, Committees and Shareholders and physically convening the Board and Committee meetings.
Ensure that secretarial audit, internal audit and statutory audit is conducted as per prescribed timelines for all the group companies. Prepare MIS and reports as required by Statutory Auditor, Internal Auditor or the company.
Maintain statutory books, including registers of members, directors, and secretaries.
Provide legal advice, strategy, and risk management to develop compliance systems and processes for all group companies and all areas of the business in India along with functional and business leaders and external legal advisors.
Ensure that all operations in India including joint ventures comply with the law in all areas
Accountability for corporate compliance and legal issues. Oversight for various legal regulatory and government affairs-related matters.
Ensure legality of all significant contracts entered into by the company with third party contractors, distributors, purchasing, employment, compensation etc.
Advise and assist the business partners in potential litigation and ensure that company s interest is protected in negotiations with third parties and to assist as appropriate in concluding settlements .
