Job Role - Corporate Governance Specialist

Key Responsibilities:

Governance Compliance & Risk Management

• Ensure adherence to corporate governance regulations, policies, and best practices.
• Monitor and interpret changes in governance laws, industry regulations, and compliance requirements.
• Develop risk mitigation strategies to enhance corporate governance frameworks.

Board & Committee Support

• Assist in the preparation and organization of board meetings, including agendas, minutes, and resolutions.
• Coordinate with board members and senior executives to ensure effective governance processes.
• Maintain corporate records, charters, and governance policies.

Policy Development & Implementation

• Draft, review, and update corporate governance policies and procedures.
• Ensure governance policies align with regulatory requirements and industry best practices.
• Provide guidance to executives and employees on governance-related matters.

Stakeholder Communication & Reporting

• Prepare and present governance reports to senior management and stakeholders.
• Liaise with regulatory authorities, auditors, and external legal advisors as needed.
• Promote transparency and accountability across the organization.
