Job Purpose:
Accountable for the Legal policy matters, liaison with all outside stake holders including court officials, Judiciary and other top advocates. Responsible for providing proactive, in depth, legal, business-focused advice to the business, as well as implementing initiatives and process in order to set standards and reinforce a culture of integrity, quality, ethical behaviour and responsibility across the business.
1. Legal:
- Having good exposers in following laws
1. Labour laws (major Factories Act and Contract labour Act)
2. Gujarat Land and Revenue code
3. The Right to Fair Compensation and Transparency in Land Acquisition, Rehabilitation and Resettlement Act, 2013
4. Trasnfer of Property act
5. Environment protection act
6. Forest conversation act
7. Service law including law relating to disciplinary action
8. Education law:
- Handling of all Court cases including preparations of case drafts, coordination and Briefing / discussion with the lawyers for legal cases and make arrangements required for Arbitration proceedings.
- Drafting and vetting of MOA, MOU, Bank guarantee, Indemnity Bonds if any, Undertakings and authority letters, vendor contracts, etc & co-ordination with the panel of lawyers to ensure documents are legally sound.
- Handling the litigations in which the Company, School or other Trusts/Entities are involved - Preparing notices/legal notices and replies to notices/legal notices. Preparing matters before initiation of any proceeding before Courts and preparing defense for matters filed against the Company.
- Preparing and drafting transactional documents for land, NDAs, Affidavits, Indemnity Bonds, etc. Studying and advising on commercial documents and providing legal assistance during negotiations with Vendors of the Company.
- Executing/ensuring periodic and circumstantial filings/intimations as may be required under the law applicable to the Company.
- Ensuring compliance by stakeholders with all laws relating/applicable to the Site, advising on new requirements under the law. Keeping a watch on legal developments in terms of new legislations (proposed or published) or legal precedents or any matter outstanding before the Court whose decision will have an impact on the Company's business.
- Providing detailed legal advice on issues arising out conflicting legal requirements and business demands, in a manner that the Company is not in violation of any law and its business interests are protected.
- Assisting in advocacy for policy matters or for state or central legislation including Acts, Rules, Regulations
- Support the leasing/projects/Marketing/ Finance & Accounts/ center Operation teams by providing expert advice on legal and regulatory matters related to the project.
- Ensures compliance of all legal documents with relevant legal framework & Be update with all the changes in the Government Policy / legislative business.
2. Liaisoning :
- Develop & maintain effective networks, enhancing relationship with District Courts, and deals with Advocates/ Counsel.
- keep update on various legal enactments / Judgments.
- Ensure the development of effective working relationships between corporate functions and other services across the Council.
Litigation management:
3. Supervisory Role:
- Supervise the internal audit function to assure the effective operating of governance, policy and internal control processes. Ensure corporate compliance processes and externally demanded organisational assessments are carried out in a timely manner.
- Supporting the Chief of Staff and Director of Corporate Affairs in identifying deliverables and a framework for monitoring and reporting on change management activities, including collating relevant information for change management reporting to the Board of Governors
- Sign, supervise and review the activities of public relations staff & Soliciting advice and guidance, when appropriate, from a Board of Directors.
4. Additional Skills:
- Excellent relationship management and communication skills necessary for the interaction with Government, Judicial system and negotiating parties.
- Expresses opinion & arguments clearly and convincingly and makes presentations with confidence.
- Should have good problem solving skills, highly adaptable and flexible, work comfortably in a fast paced and dynamic environment & to handle the multiple simultaneous task.
