Magic Bus India Foundation is seeking a qualified Company Secretary & Legal Officer to oversee corporate secretarial compliance and legal affairs. The role involves ensuring adherence to Companies Act, Income Tax Act, Labour Laws, FCRA regulations, and other statutory requirements. The candidate will be responsible for drafting and reviewing agreements, tracking regulatory compliance, and coordinating with legal advisors and law firms for litigation matters.
The ideal candidate should have 4-7 years of experience, possess both Company Secretary (CS) and Law Degree (LLB) qualifications, and have strong expertise in agreement drafting and legal documentation.
Key Deliverables in the Role:
1. Ensuring 100% statutory and regulatory compliance across corporate, tax, labour, and FCRA laws.
2. Timely filing of MCA forms and corporate compliance documentation.
3. Effective contract drafting and legal agreement management.
4. Efficient litigation coordination and legal dispute handling.
5. Development of legal risk mitigation strategies and internal compliance policies.
Key Responsibilities:
1. Secretarial Compliance & Corporate Governance
- Ensure full compliance with the Companies Act, 2013 and corporate governance norms.
- Maintain statutory registers, Board & Committee minutes, resolutions, and required filings with the Ministry of Corporate Affairs (MCA).
- Prepare and submit mandatory filings (MGT-7, AOC-4, DIR-12, etc.) in coordination with the external Company Secretary.
- Organize and manage Board Meetings, Annual General Meetings (AGMs), and Committee Meetings, including preparing notices, agendas, and minutes.
- Ensure compliance with director disclosures, annual filings, and ROC requirements.
2. Coordination with External Company Secretary
- Act as the primary liaison with the external Company Secretary to ensure all MCA and ROC filings are completed accurately and on time.
- Ensure compliance with changes in corporate structure, governance requirements, and statutory submissions.
3. Legal Compliance & Risk Management
- Track and ensure timely compliance with tax laws, labour laws, and FCRA regulations, maintaining an updated Compliance Calendar.
- Tracking of compliance calendar and ensure adherence to Income Tax Act (including TDS and NGO-related tax exemptions), ESIC, EPF, Shops & Establishment Act, and FCRA reporting requirements.
- Assist in internal and external audits by maintaining up-to-date legal and regulatory documentation.
- Conduct legal due diligence on new funders, vendors, and partners to assess compliance risks.
4. Drafting & Reviewing Agreements
- Draft, review, and negotiate agreements with funders, service providers, consultants, and vendors, ensuring compliance with regulatory and contractual obligations.
- Provide legal inputs on Memorandums of Understanding (MoUs), Service Level Agreements (SLAs), NDAs, and partnership agreements.
- Ensure all contracts include risk mitigation clauses and align with statutory and organizational policies.
- Maintain a repository of all contracts and legal agreements with renewal/termination tracking.
5. Litigation Management & Coordination with Law Firms
- Coordinate with external law firms and legal advisors on litigation and dispute resolution matters.
- Manage legal notices, court filings, and government correspondences related to compliance and regulatory disputes.
- Ensure the organization's interests are legally protected in disputes, contractual obligations, and statutory inquiries.
6. Legal Advisory & Policy Development
- Advise management on legal risks, compliance strategies, and corporate governance best practices.
- Develop internal legal policies and standard contract templates for funders, service providers, and consultants.
- Monitor changes in corporate law, taxation, labour laws, and NGO-specific regulations and implement necessary updates.
7. Training & Awareness
- Conduct internal training on FCRA compliance, tax laws, contract law, and corporate governance for key stakeholders.
- Develop guidelines and SOPs for regulatory and contractual compliance across the organization.
Qualifications & Experience:
Mandatory Qualifications:
- Company Secretary (CS) qualification from the Institute of Company Secretaries of India (ICSI).
- Law degree (LLB) is mandatory with expertise in contract drafting and legal documentation.
Experience:
- 4-7 years of experience in a Company Secretary & Legal Compliance role, preferably in an NGO, CSR, or corporate legal department.
- Experience in agreement drafting, corporate secretarial work, and regulatory compliance.
Key Skills Required:
- Strong knowledge of corporate law, FCRA, taxation, and labour laws.
- Expertise in MCA filings, Companies Act compliance, and contract drafting.
- Ability to coordinate with law firms, auditors, and regulatory authorities.
- Excellent written and verbal communication skills for legal documentation and advisory.
- Strong analytical and risk assessment skills for compliance and legal risk mitigation.
