Role Overview
The Chief Financial Officer (CFO) will drive the company’s financial strategy, planning, and operations, ensuring strong banking relationships and leading fundraising initiatives. This role requires a seasoned financial leader with expertise in large-scale infrastructure/EPC projects, capital structuring, and financial compliance.
The CFO will oversee accounting, financial management, compliance, and risk assessment, ensuring adherence to FEMA, RBI guidelines, and other regulatory frameworks governing domestic and international transactions. Additionally, the CFO will ensure accurate financial reporting, robust internal controls, and tax compliance, while optimizing financial stability, operational efficiency, and strategic growth.
Key Responsibilities
1. Strategic Financial Leadership

• Develop and execute the company’s financial strategy, ensuring alignment with overall business objectives.
• Provide strategic financial insights to the leadership team to drive sustainable growth and profitability.
• Assess new business opportunities, investments, and expansion strategies from a financial perspective.

2. Banking and Fundraising

• Forge strong partnerships with banks, NBFCs, and financial institutions for raising project financing, working capital, and debt.
• Drive capital-raising initiatives, including private equity, bond issuance, structured finance, and foreign direct investment.
• Lead negotiations for favourable terms for project loans, refinancing, and credit facilities.
• Manage investor relations and ensure compliance with funding covenants.

3. Accounting & Financial Reporting

• Manage the preparation of financial statements, balance sheets, profit & loss statements, and cash flow reports.
• Oversee internal controls and financial audits, ensuring adherence to corporate governance norms.

4.Treasury and Cash Flow Management

• Design and manage cash flow strategies to ensure liquidity and financial stability across projects.
• Optimize treasury operations, ensuring effective utilization of surplus funds, hedging mechanisms, and forex management.
• Monitor and mitigate risks associated with funding delays, currency fluctuations, and interest rates.

4. Project Cost Control and Financial Oversight

• Oversee financial planning, budgeting, and cost control for multi-million-dollar EPC projects.
• Collaborate with project leaders to monitor financial health, address overruns, and ensure profitability.

5. Governance, Compliance, and Reporting

• Ensure compliance with statutory regulations, tax laws, and financial standards.
• Strong knowledge of overseas transactions, ensuring compliance with FEMA, RBI guidelines, and other applicable regulatory frameworks.
• Lead statutory audits, internal audits, and ensure accurate financial reporting to stakeholders.
• Liaise with regulatory authorities such as RBI, SEBI, and tax authorities to ensure compliance with evolving financial policies.
• Develop frameworks for risk management and corporate governance.

6. Leadership and Stakeholder Management

• Lead and mentor the finance team, ensuring continuous development and a culture of accountability.
• Act as a key interface between the company and external stakeholders, including banks, investors, auditors, and regulatory authorities.
• Represent the company’s financial interests in board meetings and strategic forums.

Qualifications and Experience

• Education:
• Chartered Accountant (CA)
• Additional certifications like CFA/CPA are preferred.

• Experience:
• 25+ years of experience in financial leadership, preferably 10-12 years in the infrastructure/EPC sector.
• Proven expertise in fundraising, project financing, and working capital management.
• Hands-on experience with financial modeling, project cost analysis, and managing multi-location operations.
