Position Overview:
The Head of Legal will be responsible for overseeing all legal aspects of the company's operations, ensuring compliance, mitigating legal risks, and providing strategic legal counsel to senior leadership. This role involves managing the legal department, advising on corporate governance, handling contract negotiations, leading dispute resolution, and safeguarding the company's interests in regulatory and compliance matters. The Legal Head will play a crucial role in supporting the company's business objectives while ensuring adherence to legal and regulatory frameworks.
Key Responsibilities:
1. Legal Advisory & Compliance:
- Provide strategic legal counsel to the CFO, CEO, executive team, and business units on a broad range of legal issues.
- Ensure corporate governance compliance and adherence to applicable laws and regulations.
- Interpret and analyze legal developments impacting the company's operations and provide proactive guidance.
- Develop and implement legal policies and best practices across the organization.
2. Contract Management:
- Oversee the drafting, review, and negotiation of Master Service Agreements with clients, vendors, and partners, including contracts valued up to $100 million USD.
- Ensure contracts align with legal and business standards, safeguarding the company's interests.
- Manage contract lifecycle processes, including renewals, amendments, and terminations.
- Stay informed about industry-specific legal challenges and regulatory frameworks (e.g., technology, healthcare, finance).
3. Litigation & Dispute Resolution:
- Develop and implement strategies for managing litigation and dispute resolution.
- Lead negotiations, settlements, and arbitration proceedings.
- Oversee engagement with external legal counsel and ensure cost-effective legal representation.
4. Risk Management & Regulatory Compliance:
- Oversee the company's compliance program, ensuring adherence to local and international laws.
- Identify, assess, and mitigate potential legal risks in company operations.
- Ensure timely updates on evolving laws and industry regulations, integrating changes into business practices.
5. Leadership & Team Management:
- Lead and mentor the in-house legal team, fostering professional development and high performance.
- Set performance benchmarks and ensure efficient delivery of legal services.
6. Legal Documentation & Reporting:
- Maintain comprehensive legal records and ensure compliance with internal and external reporting requirements.
- Prepare and present legal reports to senior leadership and the board.
7. Strategic Legal Support & Business Collaboration:
- Partner with finance, HR, operations, and sales teams on strategic projects requiring legal oversight.
- Allocate and manage legal resources and budgets to align with business objectives.
8. Mergers, Acquisitions & Intellectual Property:
- Provide legal guidance on M&A transactions, joint ventures, and strategic investments.
- Oversee intellectual property matters, including trademarks, patents, and copyrights.
Qualifications & Experience:
Education:
- Law degree from a reputed institution.
- Company Secretary (CS) qualification preferred (First or Second Attempt).
