Job Description

We are looking to hire an experienced Company Secretary for a leading manufacturing organization based in Mumbai.

The ideal candidate will have a strong understanding of SEBI regulations, Company Law Compliances, and related areas.

This role is crucial for ensuring timely and accurate compliance with SEBI (LODR) requirements, maintaining governance standards, and supporting the organization's legal and regulatory framework.

Roles and Responsibilities:

- Ensure timely submission of quarterly shareholder's grievance reports.

- Oversee the certification process from RTA and submission to the Stock Exchange.

- Prepare and submit the half-yearly related party transaction report.

- Compile and submit quarterly corporate governance reports.

- Manage the filing of the quarterly shareholding pattern accurately.

- Ensure the timely submission of quarterly financial statements.

- Handle the submission of all transfer, transmission, and transposition letters, ensuring confirmation to stock exchanges post-completion.

- Coordinate the notification process for Board Meetings and Annual General Meetings.

- Track and ensure the submission of the Annual Report and Business Responsibility and Sustainability Report (BRSR) to SEBI.

- Publish statutory matters in newspapers as required.

- Keep the company website updated with all relevant compliance and regulatory information.

- Submit Reg 30 information to the Stock Exchange based on event-based mechanisms.

- Ensure compliance with all applicable regulations related to debentures.

- Keep the internal departments informed about updates and amendments to existing SEBI Regulations for compliance with LODR.

Skills and Qualifications Required:

- 4+ years of experience as a Company Secretary or similar role.

- Qualified Company Secretary (CS) with a preference for additional qualifications such as LLB or B.Com.

- Strong knowledge of SEBI regulations, particularly SEBI (LODR) requirements.

- In-depth understanding of Company Law Compliances.

- Excellent organizational skills with attention to detail.

- Ability to handle multiple projects and tasks with a proactive approach.

- Strong communication skills for coordinating with internal and external stakeholders.
