About the Role:
Join our dynamic consulting team as a Company Secretary, where you will play a pivotal role in ensuring corporate governance and compliance with statutory regulations. This position offers a platform to enhance your professional expertise while collaborating with diverse clients and internal teams.
Key Responsibilities:
Corporate Compliance and Governance:
- Ensure compliance with the Companies Act, LLP Act, FEMA, and other applicable laws.
- Prepare, review, and maintain statutory records and registers in an accurate and timely manner.
- Manage corporate governance processes, including drafting agendas and notices for Board and Shareholders' Meetings.
Meeting Management:
- Convene and coordinate Board, Shareholders, and other internal meetings.
- Draft and maintain resolutions and minutes for Board and General Meetings.
Regulatory Filings:
- Prepare and file statutory forms and reports with regulatory authorities such as the Registrar of Companies (ROC) and the Reserve Bank of India (RBI).
- Ensure timely submissions to avoid non-compliance.
Legal and Transactional Support:
- Assist in drafting and reviewing legal documentation, including definitive agreements, mergers, amalgamations, and opinion notes.
- Provide support for corporate restructuring and advisory services.
Client and Team Coordination:
- Serve as a point of contact for clients, fostering strong professional relationships.
- Coordinate with clients and internal teams to ensure timely compliance with evolving regulations.
Required Skills and Qualifications:
- Educational Qualification: Qualified Company Secretary (CS).
- Experience: 1-5 years in a corporate or consulting environment.
- Strong understanding of corporate laws, LLP Act, FEMA regulations, and other applicable statutory requirements.
- Proficiency in drafting resolutions, minutes, and legal documentation.
- Excellent communication, organizational, and interpersonal skills.
- Ability to manage multiple deadlines and deliver quality outputs.
Preferred Skills:
- Experience in handling mergers, amalgamations, and other corporate restructuring activities.
- Familiarity with compliance tools and regulatory portals like MCA21.
- Exposure to consulting or client-facing roles.
