Head - Legal & Compliance - Agri (15-20 yrs)

A leading global trading company is looking to Head legal and compliance with 15-20 years of experience for their Mumbai office.

Key Responsibilities:

Contract Management:

- Drafting, reviewing, and negotiating complex commercial contracts with suppliers, buyers, and logistics providers related to agricultural commodities like grains, pulses, oilseeds, etc.

- Ensuring contracts comply with relevant legal requirements and industry standards, including terms regarding quality, quantity, delivery timelines, payment terms, and force majeure clauses.

Compliance Management:

- Monitoring and ensuring adherence to all applicable laws and regulations related to agricultural commodity trading, including customs regulations, food safety standards, and commodity exchange rules.

- Staying updated on regulatory changes and advising the company on potential legal risks associated with new regulations.

Risk Mitigation:

- Identifying potential legal risks in trading activities, including price fluctuations, market volatility, and geopolitical issues.

- Implementing legal strategies to mitigate risks, such as appropriate contract clauses and hedging mechanisms.

Dispute Resolution:

- Managing legal disputes arising from contracts or trade transactions, including liaising with external law firms / legal counsels in representing the company in litigation or arbitration proceedings.

- Negotiating settlements and resolving disputes with suppliers, buyers, and other stakeholders.

- Legal Advice and Support:

- Partner with business in recommending, developing, and executing business initiatives within permissible statutory and regulatory frameworks.

- Providing legal counsel to various departments within the company, including operations, and finance, on legal matters.

Team Management:

- Leading a team of legal professionals within the company, overseeing their work, and ensuring efficient legal support.

- Developing and implementing legal strategies aligned with the company's overall business objectives.

- Coordinate with the legal team (outside India) and act as a local advisor for all their legal matters concerning their business in India.

- To form a legal and compliance team for the Joint Venture Company and guide them in their legal work.
