Capital Market Specialist - LLB (3-5 yrs)

About the Role:

We are seeking highly motivated and experienced Capital Market Specialists to join our dynamic team in Mumbai or Delhi.

The ideal candidate will be a qualified lawyer with a strong understanding of capital market regulations and a proven track record of advising clients on a variety of transactions.

Responsibilities:

- Fund Raising Expertise: Advise and represent clients on a wide range of fund-raising activities for both listed and unlisted companies, including:

- Initial Public Offerings (IPOs)

- Qualified Institutional Placements (QIPs)

- Foreign Currency Convertible Bonds (FCCBs)

- Renounceable and Non-Renounceable Rights Issues

- Public Issues of Bonds and Debentures

- Private Placements

- Buyback of Securities

Takeovers

- Due Diligence and Documentation: Conduct thorough due diligence, prepare red herring prospectuses, offer documents, and other transaction-related documentation.

- Compliance Advisory: Provide comprehensive advisory services to listed companies and market intermediaries on statutory and regulatory compliances, including:

- Day-to-day compliance obligations with Stock Exchanges and SEBI.

- Continuous disclosure requirements.

- Listing criteria and regulatory filings.

- Debt Capital Markets (DCM): Demonstrate expertise in advising on and executing debt capital market transactions, including bond issuances, loan syndications, and other debt financing structures.

- Equity Capital Markets (ECM): Demonstrate expertise in advising on and executing equity capital market transactions, including IPOs, follow-on offerings, and other equity financing structures.

- Client Management: Manage client relationships effectively, understand their needs, and provide timely and accurate advice.

- Transaction Management: Manage all aspects of capital market transactions, from initial structuring to closing.

- Legal Research: Conduct legal research and stay up-to-date on the latest developments in capital market regulations.

- Teamwork: Collaborate effectively with other members of the team, including associates, partners, and support staff.

Qualifications:

- Education: LLB degree from a recognized university (Graduation year: 2017 - 2020).

- Experience: 3 to 5 years of relevant experience in a law firm specializing in capital markets.

Skills:

- Strong understanding of SEBI regulations, listing requirements, and other relevant laws and regulations.

- Proven experience in drafting and negotiating transaction documents.

- Excellent research and analytical skills.

- Strong communication and interpersonal skills.

- Ability to work independently and as part of a team.

- Strong attention to detail and organizational skills.

Preferred Skills:

Experience in handling cross-border transactions.

Familiarity with different industry sectors
