Associate - Capital Markets

About the Role:

- We are looking for a Capital Markets Associate with 2-4 years of experience in equity and debt capital markets transactions, particularly IPOs, QIPs, rights issues, and bond issuances.

- The ideal candidate will have hands-on experience advising issuers, underwriters, and investors on regulatory and transactional aspects.

Key Responsibilities:

- Lead and support transactions involving IPOs, QIPs, rights issues, and private placements.

- Draft and review offer documents, red herring prospectuses, and placement memoranda.

- Advise clients on SEBI regulations, Companies Act, and FEMA compliance.

- Conduct due diligence and manage interactions with regulatory authorities, stock exchanges, and financial institutions.

- Assist in drafting agreements, including underwriting agreements and investor communications.

- Work closely with investment bankers, accountants, and company management teams for seamless transaction execution.

Qualifications & Skills:

- LL.B. from a reputed law school.

- 2 to 4 years of experience in capital markets at a leading law firm.

- Proven experience handling IPOs, QIPs, and other equity issuances.

- Strong knowledge of SEBI (ICDR), LODR, and Companies Act regulations.

- Excellent drafting, research, and negotiation skills.

- Ability to work under tight deadlines and handle multiple transactions simultaneously.
