Detailed Job Description:

Litigation Management:

Closely work with the external counsels managing legal proceedings, if required, including disputes, litigation, and negotiations.

Contract drafting & Management:

Facilitate business transactions, commercial contracts, like SLAs, PPAs, NDA’s, Sales Contracts, Supply Contracts, Master Service Agreements, Software Service Agreements, Lease Deeds, Leave and License Agreements etc.,

Property Due Diligence:

• Conduct comprehensive legal due diligence on properties, including reviewing property documents, titles, encumbrances, and potential legal issues.
• Analyze property records, agreements, and contracts to assess the legal status of properties under consideration for sale, purchase, or other transactions.
• Identify any legal risks, discrepancies, or impediments related to property ownership, zoning, land use, and other relevant aspects.

Title Examination:

• Verify property titles and ownership through careful examination of land records, title deeds, and other relevant documents.
• Address any title defects, clouds, or irregularities that might affect the transfer of property.

Documentation:

• Prepare and review legal documents related to property transactions, such as sale agreements, lease agreements, due diligence reports, and property acquisition documents.

Communication Complexities:

• Integrate into the business as a strategic business partner and provide legal guidance to achieve the organization’s goals
• Partner with internal business partners to respond to legal and compliance issues and find practical solutions that balance risk and business opportunities.

Corporate Governance:

• Contribute to the development and implementation of risk management strategies that align with the company’s business objectives and legal obligations
• Identify and advise internal business partners on risks associated with business transaction and strategize risk mitigation
• Ensure adherence to corporate governance best practices

Legal Research:

• Stay updated on statutory norms, regulations, and legal precedents.
• Conduct research to provide accurate legal opinions and advice to stakeholders regarding business transactions.

Cross-functional Communication:

• Collaborate with internal stakeholders, external counsels, and other stakeholders to ensure a clear understanding of legal matters.
• Provide timely and accurate legal advice, addressing concerns and queries related to diligence.

Risk Mitigation:

• Assess potential legal risks associated with property transactions and provide strategies to mitigate these risks.
• Advise stakeholders on necessary legal steps to ensure smooth and legally compliant transfer of property ownership.

Preferred candidature:

• A mix of corporate law firm and in-house experience is a plus
• Ability to work independently while being able to contribute successfully to cross-functional teams
• Excellent organizational skills and the ability to simultaneously manage multiple projects and meet deadlines
• Strong written and oral communication skills and Strong analytical and IT skills
