Job Purpose:
The Company Secretary is responsible for ensuring the organization's compliance with all applicable legal and regulatory requirements. This includes advising the Board of Directors, managing governance matters, and overseeing compliance activities.
Principal Accountabilities:
1. Governance and Compliance:
- Ensure the Board of Directors and its committees comply with all legal and regulatory frameworks.
- Maintain proper information flow within the Board and between senior management.
- Oversee compliance with all applicable laws and regulations.
- Manage the company's statutory filings and reporting requirements.
- Provide guidance to management on matters of governance, risk, and compliance.
2. Board Support:
- Develop and maintain procedures for the conduct of Board business.
- Support the effective operation of the Board and its committees.
- Manage information flow to and from the Board.
- Identify and raise awareness of any unmanaged risks.
- Oversee the planning and execution of Board meetings.
- Provide legal advice to the Board and its Directors.
3. Legal Services:
- Provide legal advice on agreements and related compliance.
- Draft legal contracts as required.
- Manage legal tools implemented by the company.
4. Other Duties:
- Manage the Company Compliance Portal.
- Coordinate internal and statutory audits.
- Conduct secretarial audits.
- Assist in the preparation of functional MIS.
- Manage insurance policies.
- Oversee banking documentation and processes.
- Act as a Procurement Process Custodian for Finance and Administration.
Major Challenges
- Staying up-to-date on legislative, regulatory, and governance changes.
- Maintaining the confidence of the Board and acting as a confidential sounding board for Directors.
- Providing objective judgment and scrutiny to a range of activities.
Key Decisions
- Ensuring adherence to all compliance requirements.
- Coordinating with internal and corporate teams.
Skills and Knowledge
Essential Skills:
- Strong knowledge of company law and governance principles.
- Excellent communication and interpersonal skills.
- Strong analytical and problem-solving abilities.
- Ability to manage competing demands and meet deadlines.
Educational Qualifications:
- Member of the Institute of Company Secretaries of India (ICSI).
- Relevant professional training.
Experience:
- Proven experience in a similar role, providing advice on governance and compliance matters.
- Experience working at an appropriate level within a company.
