Key skills for the job
- You will be responsible to provide corporate/retail legal support to the Bank by ensuring legality of commercial transactions, advising the Bank on their legal rights and duties, overseeing operations and compliance in line with RBI/Statutory requirements and streamlining and monitoring of systems and processes.
- To be conversant with contract law, tax law, accounting, securities law, intellectual property rights, licensing, mergers / acquisitions and Co-operative laws and have considerable experience in corporate legal and handling matters pertaining to recovery, management of NPAs, compliance with prudential norms of RBI on Income Recognition, Asset Classification and Provisioning.
- You will be advising the Bank on their legal rights and duties, to ensure the legality of commercial transactions for all matters pertaining to title of property, documentation, title search, charge creation, mortgages, Cersai & ROC creation, etc.
- You will ensure that the Bank is adequately represented in all the suits, matters and issues concerning legal issues and recovery out of NPA accounts.
- You will liaise with relevant support departments of the Bank, including IT and Premises & Facilities Department, to ensure that where legal risks have been identified, appropriate courses of action have been taken.
- You will provide and interpret legal information, conduct training and disseminate appropriate legal requirements to staff.
- You will review and advise management on legal implications of internal policies and procedures.
- You will review and draft contracts, agreements and internal policies and ensure that they are in compliance with all statutory or legal requirements.
- You will review progress of outstanding litigation and liaise with and manage external lawyers.
- You will monitor compliance with statutory obligations and advising management accordingly.
- You will review all contracts or any other documentation where the Bank has committed itself and assess legal implications that need to be brought to the executive management's attention.
- You will prepare, review and modify contractual instruments to assist and support various business activities.
- You will overview of the compliance of CERSAI and ROC charge registration.
- You will modify/get modified the Loan Documents as per the RBI Circular.
- If required you will attend the Court Cases.
- You will also deal with the Statutory and RBI auditors wherever required.
- You will monitor the disbursements of your region.
- You will be responsible for providing necessary deviation approvals in respective disbursement cases.
- Whenever it is necessary you will assist/guide Recovery Team in various NPA cases.
- You will implement legal policies and processes to initiate timely legal action for resolution of NPA accounts basis by adopting all kind of Legal recourses and remedies.
- You will deal with the vendors/counsels/agencies for the work assigned to them
- You will draft and vet Original Applications, Notices / Letter / Internal Correspondence/ WS/ Sec .14 Application replies etc, in terms of litigation/Non Litigation.
- You will draft Police Complaints / Notes on Fraud issues under guidance of seniors and after seeking feedback from concerns.
- You will attend Police Station wherever required.
- You will draft Memorandum of Understanding, Settlement Letters/Agreements, Notices to the customers.
- You will be responsible for preparing SOP.
- You will monitor the MIS activity and report published to the seniors with accuracy and proper presentation from time to time.
- You will liaise with vendors/services agencies for their concerns/requirements independently.
