Responsibilities as a Senior Manager Legal:
1) Title Due Diligence-
To do entire Legal Due-Diligence with respect to proposed projects of the Organisation and thereafter to issue Title Clearance Certificate.
2) Preparation of Drafts
i) Prepare drafts of various Agreements/Documents like Development Agreements, Supplementary Agreements, Individual Agreements, Agreement for Sale, Deed of Conveyance, Allotment Letter, Sale Deed, NOC, Allotment Letter, Possession Letters, Memorandum of Understanding, Indemnity Bond, Undertakings, Leave and License Agreement, Power of Attorney, Application Form, Letter of Intent, Work Order etc. and all kind of document required at the relevant time.
ii) Drafting various replies, rejoinders to the Notices, letters, representations, Correspondence on behalf of Organization
iii) Draft representations and submission of various documents to various bodies like Municipal Corporation, SRA, MHADA, societies, Banks, Financial Institutions etc.
3) Vetting Agreements/Contracts etc.
Vetting Agreements, Deeds, Contracts like Master Buyer Agreement, Facilitation Agreement, Advertisement Agreement, Debenture Trust Deed and all ancillary documents pertaining to the same, Partnership Deed, NDA, and other documents forwarded by several departments like HR, Marketing, Sales, Accounts etc. of the Organisation
4) Dealing with
i) Property Owners, Society Members, Slum Dwellers, Legal Advisors/Legal Consultant of Property Owners, Society, SRA Society to close legal queries/issues and to prepare and finalise all kind of transaction documents.
ii) With the Bank Officials, Purchasers, various Government officials to resolve legal queries with respect to the transactions.
iii) With the Non-Banking Financial Institutions, Bank Official and their advocates, Solicitors to prepare and finalise Loan Documents, Mortgage and security documents.
5) Attend Meeting with
Government Officials, Property Owners, Society Members their Advocates, Counsels, Senior Counsels, Purchasers to close the legal issues/transaction documents.
6) Litigation
i) To peruse and finalise the drafts of Writ Petitions, Written Statements, Reply, Rejoinder to Writ Petitions, Applications etc. forwarded by the Senior Advocates, Legal Firms etc. hired by the Organization
ii) Co-ordinate with various Legal Consultant, Senior Advocates, Solicitors, Legal Firms to brief them about our legal matters pending in various court of law.
7) Study in depth of the relevant Acts, Provisions, Government Notifications, rules and regulation to help to the progress of the Company.
8) Co-ordination with all internal departments as per requirements.
9) Preparing documentation as per instruction of Directors of the Organization as and when required
10) Searched relevant provisions and citations from various Bare Acts, Journals, Case-Laws, from Internet and various Magazines like AIR, Law Reporters, Law journals etc.
